SVB Financial Group and its subsidiaries, including its principal banking subsidiary, Silicon Valley Bank provides financial and banking services to companies in technology-related, life science/healthcare, private equity/venture capital and premium wine industries. SVB is currently seeking candidates for the position of Corporate Counsel (or other title depending on experience) to advise on global compensation and benefits and other general corporate work. The successful candidate must have strong knowledge of core federal and state compensation/benefits and related tax laws and regulations, including ERISA, Internal Revenue Code (including Section 409A), as well as compensation disclosure and governance requirements under applicable SEC and NASDAQ rules. Experience working with or for a banking institution or other regulated business is a plus.

SVB is headquartered in the Bay Area in Santa Clara, California. This position may be based in any of the following key SVB office locations: California (Santa Clara, San Francisco or Palo Alto); New York (New York City); Arizona (Tempe); Colorado (Denver) or other location near an SVB U.S. office. The position will report to the Deputy General Counsel.

Responsibilities:

  • Advise on all global compensation (including executive compensation) and benefit matters, including the design, implementation and administration of:
    • Incentive or compensatory plans (cash or equity incentive plans, deferred compensation plan, or sales incentive plans),
    • Employee stock purchase plan
    • Retirement plans (401k and employee stock ownership plan)
    • Carried interest plans (for funds management business)
    • Retention arrangements
    • Health and welfare programs
    • Relevant policies (including recoupment policy)
  • Advise on all compensation matters with respect to mergers and acquisitions
  • Advise on tax-related matters, including Section 409A or 280G of the Internal Revenue Code)
  • Prepare compensation-related disclosures as required by the SEC or other regulatory authority (including compensation discussion and analysis of the proxy statement)
  • Assist with supporting matters involving the 401k committee and as necessary, the Compensation Committee of the Board
  • Advise on corporate governance relating to compensation matters
  • Provide legal support of the Company’s diversity, equity and inclusion initiatives and other human capital management matters
  • Advise on general labor and employment matters, including wage and overtime standards, payroll, leaves of absence and employment termination
Qualifications


Skills/Qualifications:


  • 6 to 12 years of experience (either in-house or law firm)
  • Superior writing and verbal communication and presentation skills
  • Strong commercial and legal judgment; ability to apply legal knowledge towards practical business solutions
  • Hard working, well organized and able to prioritize and manage numerous project simultaneously under deadline pressures
  • Willingness to work on a broad range of legal matters/topics and to learn new areas; strong growth mindset
  • Excellent interpersonal skills, including the ability to team up and build relationships with others
  • Inquisitive nature; keen desire to learn about our business and to help find innovative, commercial and creative solutions as we grow as a company
  • Ability to manage outside counsel effectively
  • J.D. from a top tier school and excellent academic credentials
  • Active membership in good standing in at least one state bar, preferably California or New York
