About Role

Plenty is changing the way the world grows food, and that comes with a wide variety of legal opportunities to explore. We are looking for an ambitious attorney to join our team to help tackle the range of issues we encounter every day. Your primary role will be supporting the procurement team and all other internal groups with structuring, drafting, negotiating and advising on commercial agreements, and serving as the escalation point for general legal questions and issues. In addition, you will be asked to share the load on key special projects as they arise – which could range from exploring the regulatory landscape of food production and processing and how it applies to our systems, to unique and complicated financial transactions, to understanding the requirements to keep bees. We can also promise that you'll get your hands dirty. Come be a flavor farmer with us.

In this role you will report to the Director, Legal. The role is based in South San Francisco, CA, though the team is working remotely during COVID-19.

What You'll Do

  • Draft and negotiate a wide variety of contracts, including commercial agreements, real estate and construction contracts, software licenses, consulting and other services agreements, and confidentiality agreements.

  • Update and improve our suite of form agreements and other documents.

  • Develop and improve cross-functional workflows, guidelines and playbooks to provide efficient legal support to the business.

  • Level up the legal acumen of the business by training and coaching teammates on contract law and best practices.

  • Work closely with business leaders and individual contributors across the organization to identify, understand and develop solutions for complex regulatory challenges.

  • Help to formulate strategy and process for, coordinate drafting and negotiation of, and execute on a variety of strategic transactions (e.g., potential M&A activity, asset acquisitions, joint ventures and commercial partnerships, etc.).

  • Dive deep into the history of the business and its relationships to provide practical guidance to internal clients.

  • Generally be ready to help handle whatever arises – we're a startup, and every day is different!

What We're Looking For

  • J.D. degree from top law school and licensed to practice law in at least one state in the USA.

  • Minimum 5+ years overall work experience as an attorney (at a top law firm and/or in-house).

  • Experience in any or all of the following subject matters a plus (but not required):

    • Commercial contracts.

    • Licensing and other technology transfer transactions.

    • Securities, project finance and/or debt finance transactions.

    • Tax and corporate subsidiary matters.

    • Real estate or construction law.

    • Corporate governance and pre-IPO readiness.

    • Regulatory and compliance matters in agriculture or other fields.

    • Employment law.

  • Strong organization and project tracking skills, with a penchant for writing out processes.

  • A desire for a fast-paced, complex and constantly evolving environment, where you will be a force to create structure for a growing organization while being adaptable enough to roll with the punches.

  • Ability to quickly and proactively master new legal subject matter areas, and curiosity to enjoy the ride.

  • Strong time management and prioritization skills, as well as ability to effectively interface and partner with business leads in various departments.

  • Experience managing outside counsel and/or coordinating legal subject matter experts.

  • Passion for fresh, delicious produce, global nutrition and preserving our planet's agricultural and environmental resources.

Food Safety Requirement

  • Comply with all Plant, State and Federal OSHA, EPA, FDA, HACCP, and SQF regulations.
