Associate General Counsel (Temporary - 6 months)

The Associate General Counsel will be responsible for assisting with the Company’s corporate governance, commercial contracts and transactional needs, including acquisitions, dispositions, financing, and joint ventures.


Essential Duties and Responsibilities:

  • Draft, review and negotiate commercial contracts through engagement with internal business stakeholders.
  • Provide advice and counsel with respect to structuring transactions and negotiating terms and conditions of commercial engagements with vendors.
  • Negotiate, prepare and close complex real estate or corporate transaction documents including but not limited to acquisitions, dispositions, financials, joint ventures and development projects.
  • Manage contract compliance including counseling internal clients with respect to contract issues and disputes, including in connection with commercial, financing and joint venture agreements.
  • Analyze and provide legal advice and assist in a variety of special projects, including specific issue review and research.
  • Be a part of a collegial and collaborative legal team.
  • Build and cultivate strong working relationships with internal and business team members.
  • Assist in the management and coordination of the negotiation, preparation execution and delivery of all relevant agreements and related documents and related deliverables so as to enable the company to process transactions within agreed timetables.

  • Other duties and responsibilities as assigned.

Qualifications:

  • Juris Doctorate (J.D.) and licensed in Florida, and if not licensed in Florida, with Authorized House Counsel certification in Florida
  • 2-3 years relevant experience including drafting, reviewing and negotiating complex commercial agreements for a variety of commercial matters; real estate experience such as real estate financing, lending, purchase/sale agreements and joint ventures; and general corporate governance experience (i.e.: entity formation/compliance/maintenance) and maintenance of corporate records
  • Excellent analytical skills and attention to detail are a must, as you will be reviewing and managing a broad range of commercial agreements
  • Ability to work in a fast-paced environment managing multiple projects simultaneously
  • A keen understanding of business and real estate, and the ability to diagnose legal problems and present positive, creative solutions and alternatives for internal business stakeholders
  • Ability to collaboratively work with legal team members and with our business colleagues to solve problems in an effective and pragmatic manner
  • Can-do attitude, excellent communication and interpersonal skills, ability to work well with others, ability to teach/coach less experienced internal clients on complex legal issues, and good sense of humor
  • Self-motivated, flexible, and efficient working style
  • Strategic thinking and strong business acumen
  • Ability to focus on the commercial details of an engagement while keeping in mind the big picture goals of the company
  • Ability to identify and resolve issues independently.

  • Majority of duties performed indoors. Noise level moderate

Note: This is a Temporary 6-month position with potential to become permanent.
