Description

We are currently seeking a Senior Corporate Counsel to handle securities and corporate governance work for a top, publicly-traded technology company.

What You’ll Do

Supporting a variety of securities, corporate governance, equity, and executive compensation matters. This attorney will be remote, though, based in our San Francisco office and will report to the Director, Legal – Corporate, Securities, and Global Governance.

  • Periodic SEC reporting
  • Proxy statement and matters relating to annual shareholder meeting
  • Insider trading compliance, including Section 16 and 10b5-1 trading plans
  • Registration statements
  • Securities- and governance-related support for mergers and acquisitions, strategic investments, and other corporate transactions
  • Board of Directors support
  • Executive compensation matters

Who You Are:

  • Demonstrates outstanding judgment and makes consistent good decisions for the company and our team members.
  • Knows firsthand the challenges of a large technology company and anticipates the problems of scaling.
  • Communicates clearly and empathetically both face-to-face and in writing.

Required Qualifications:

  • 7 - 15 years of experience
  • 3+ years of in-house experience
  • JD + license to practice in at least one US jurisdiction with eligibility for registered in-house counsel status.

Preferred Qualifications:

  • Previous experience at a high-growth technology company
  • Experience at a top law firm

Role Details: 

  • Anticipated Start Date: April 15, 2021 - Nov 31, 2021 (7.5 months)
  • Schedule: 40hrs/week
  • Pay Rate: $80 / hr - $110/hr
  • Benefits: healthcare, vision, dental
  • Location: San Francisco, CA - REMOTE
