Corporate Paralegal

About the role

We are hiring an experienced Corporate Paralegal on our growing Legal team based in San Francisco. As our Corporate Paralegal, you will support corporate governance matters, subsidiary maintenance, M&A transactions, corporate record-keeping and other legal projects. This will require previous experience with late stage private and/or public company governance and securities law requirements, excellent project management skills, strong document management focus, and the ability to collaborate across multiple teams.

This role cannot be performed in the state of Colorado.

In this role, you can expect to

  • Serve as custodian of corporate records and support the maintenance of subsidiary entity activity, jurisdictional qualifications to do business, and related entity and corporate governance items.
  • Support the corporate secretarial function, including drafting minutes, resolutions and written consents and maintaining corporate minute books and other corporate records.
  • Assist with managing/tracking compliance with securities laws and with governance policies and procedures.
  • Respond to requests for information and documents from our internal and external auditors, regulators, partners, and other stakeholders.
  • Coordinate with the stock administration team to ensure proper management of equity plans.
  • Provide support with M&A, strategic transactions and special projects as needed, including data room management and due diligence, with the ability to work in an ever-changing environment.
  • Identify areas to improve our existing processes with technology, and generally improve leverage across the team.

To thrive in this role, you have

  • A Paralegal certificate and/or Bachelor's degree from an accredited college or university.
  • 8+ years of relevant experience in a law firm and/or in-house legal department.
  • Outstanding organizational, project management and problem-solving skills.
  • A self-starter attitude with intellectual curiosity, who is capable of learning on the job, taking initiative, developing new approaches when there are no precedents, and thriving within a team.
  • The ability to demonstrate good judgment in a fast-paced, high-growth, dynamic environment.
  • Careful attention to detail and strong quality of work product.
  • Excellent written and oral communication skills.
  • Reliability and are a collaborative team-player.
  • A high degree of proficiency with G-Suite, MS Suite, and Diligent.
  • The ability to handle ambiguity and balance many matters at once and quickly shift from one task to another.
