AVP, Associate General Counsel (Contracts)

The AVP, Associate General Counsel is responsible for leading the company's transactional matters, managing the company's intellectual property portfolio, and advising senior leadership regarding strategic business transactions. This professional will have significant interaction with internal clients, senior executives and extensive interaction with all business functions while drafting, reviewing and negotiating a broad array of strategic and technology-related commercial contracts. This individual will also manage and mentor team members and seek opportunities for continuous improvement of legal department operations.

Responsibilities

  • Develop and maintain an expert level of knowledge regarding products, services, capabilities, infrastructure, and operations of Employer and its affiliates, the marketplace, competition, strategic positioning, threats and direction to achieve optimal insight and success with respect to Employer's (and those of its affiliates) products, services, capabilities, support, functionality requirements, and financial performance
  • Lead, drive, and ultimately be responsible for the legal oversight of contracts, including the responsibility to:
    • Draft and negotiate commercial and vendor contracts and assess attendant risk, in partnership with business clients and cross-functional stakeholders
    • Provide legal review, advice and support on a broad range of legal matters including commercial contracting, transactional and general corporate matters
    • Lead and cultivate a team dedicated to contracting matters in the department
    • Respond to contract related inquiries and provide guidance as a subject matter expert
    • Work cross-functionally to ensure that contract terms are compliant with legal, regulatory, corporate and risk requirements
    • Advise internal clients on contract interpretation, dispute resolution, risk allocation and other legal considerations
    • Guide Product teams and Sales teams on contract interpretation, standardizing contracts, dispute resolution, risk allocation and other legal matters
    • Establish trusted advisor relationships with the Business and Sales leadership teams
    • Lead initiatives to improve contract processes, including to reduce cycle times and increase efficiency
    • Support other legal matters and take on additional responsibilities as needed
    • Provide HIPAA and other regulatory compliance and privacy advice
  • Maintain compliance with Inovalon's policies, procedures and mission statement
  • Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon's Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position
  • Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of the Employer
  • Uphold responsibilities relative to the separation of duties for applicable processes and procedures within your job function

Qualifications

Job Requirements

  • Minimum of 15 years of legal experience to include significant experience as a transactional attorney
  • Track record of success in negotiating high volume commercial transactions with a sales-driven, software or other technology company is a plus
  • Health care experience is preferred
  • Ability to lead, manage, and prioritize transactions and other projects from inception to completion in a collaborative, fast-paced environment
  • Excel at communicating business and legal issues to senior management, other business leaders and non-lawyers
  • Exceptional business judgment, with the ability to think tactically and strategically and provide practical advice by balancing business needs with legal risks
  • Ability to effectively manage and prioritize multiple deals and agreements
  • Ability to operate comfortably in a matrixed environment
  • Ability to work in a fast paced and dynamic environment
  • Experience leading and mentoring attorneys and/or other legal staff

Education

  • Juris Doctor degree from an accredited law school and licensed to practice law in any US state or Washington, D.C.

Physical Demands and Work Environment

  • Sedentary work (i.e. sitting for long periods of time)
  • Exerting up to 10 pounds of force occasionally and/or negligible amount of force
  • Frequently or constantly to lift, carry push, pull or otherwise move objects and repetitive motions
  • Subject to inside environmental conditions
  • Travel for this position will include less than 5% locally usually for training purposes
