Vox Media seeks a highly-motivated Paralegal / Legal Operations Associate to join our Legal & Business Affairs team. In this position, you will manage and support important projects across a wide range of practice areas, including general legal operations, litigation, electronic discovery, compliance, corporate governance, M&A, and records management. In this newly-created position, the team will turn to you to help define and grow the role and proactively optimize our team. Reporting to the VP & Associate General Counsel, you will work closely with the entire team and other stakeholders within Vox Media to establish processes, facilitate change, improve efficiency and provide paralegal support to the organization, all while being a part of the leading modern media company and working with creative individuals in a fun, fast-paced environment.

What you'll do:

Corporate Support:

  • Support subsidiary entity formation and management.
  • Assist in managing Vox Media's corporate and production insurance programs, including managing and producing certificates of insurance and answering questions from internal stakeholders.
  • Assist in conducting due diligence in M&A transactions and manage virtual data rooms for information sharing relating to strategic transactions.

Litigation and Dispute Support:

  • Assist with the preservation, review and production of documents for disputes, litigation, and other legal department needs.
  • Prepare, send, and manage legal holds.
  • Track and manage the status of litigation, claims and other disputes, including keeping files up to date and managing insurance and budgets for claims.
  • Facilitate and send outgoing cease and desist notices and follow-ups to protect company IP.

Legal Operations:

  • Contract database management, including identifying and summarizing material terms and key dates of executed agreements, monitoring agreement expirations, and facilitating renewals.
  • Identify, develop, and evolve legal systems and processes to improve department efficiency.
  • Update and maintain legal quick-reference and self-help resources, including contract templates and Wiki knowledge shares.
  • Monitor outside counsel billing and efficiency and assist in reviewing invoices, compliance with diversity and billing guidelines, etc..
  • Manage the legal team's software systems, including Airtable, Dropbox, AdobeSign, and Carta.
  • Schedule and plan off-site department meetings.

Compliance and Research:

  • Assist in conducting legal research as requested by legal team members.
  • Assist with Vox Media's compliance efforts, including data mapping, employee and contractor training, records retention, and other compliance initiatives.

What you'll bring:

  • At least 3 years of in-house paralegal and/or legal operations experience.
  • Proven ability to independently identify areas of improvement and proactively initiate new projects.
  • Experience managing changes in systems and/or processes.
  • Ability to work effectively with a diversity of individuals at all organizational levels.
  • Ability to manage upwards.
  • Excellent oral and written communications skills.
  • Proven ability to handle multiple projects, prioritize and meet deadlines.
