This role would have primary responsibility for a variety of commercial legal matters in support of the VP, Sr. Assoc. Gen. Counsel, Global Commercial and would work with an innovative and highly cross functional business minded team of attorneys. This role takes an innovative approach to legal issues in support of strategic business initiatives and objectives.

Essential Functions

• Extensive experience in drafting and negotiating complex commercial agreements and thinking outside the legal box.
• Experience with large-scale business issues and lead on special projects.
• Work collaboratively with the full range of business functions including Marketing, Digital, Sales, Product Development, Logistics and Supply Chain, Engineering and Sales teams.
• Structure, draft and negotiate a broad range of commercial agreements, including software and SaaS, partnerships, professional services and outsourcing, IT infrastructure, marketing and advertising, joint development and commercialization/technology, supplier and other commercial transactional agreements.
• Work collaboratively with cross functional teams as a business partner and advise internal client regarding legal issues, including identifying, managing, and communicating risks and opportunities in various commercial transactions.
• Ability to frame-up legal issues for business and deliver succinct, commercially driven legal advice.
• Assist with the development of standard template language to be used in contracts, ancillary documents and associated playbooks.
• Perform additional duties as assigned by management.

Desired Skills and Experience

• JD Required
• Minimum of 4-7 years commercial law experience, either in-house or firm.
• Experience supporting large scale organization with commercial matters and negotiation of complex business deals.
• Experience providing pragmatic and actionable advice on various legal risks and obligations under privacy and data security laws in the U.S., Canada, and Europe (including at a minimum GDPR, CCPA and PIPEDA) is a plus but not required.
• Experience working on significant corporate transactional and mergers and acquisitions experience, including experience drafting and negotiating transaction documents and overseeing due diligence in M&A transactions is a plus but not required.
• Experience helping prepare, manage, and implement corporate governance and corporate policies.
• The candidate should possess practical, business-oriented approach to problem-solving and thrive in a fast-paced environment.
• Strong desire to learn the business and function smoothly as part of an interdisciplinary team.
• Must be able prioritize and to manage workload and meet deadlines within a fast-paced, rapidly evolving environment
• Member of a state bar.
• Outstanding academic record.
• Superior communication skills, both verbal and written.
