Position Summary:

This full-time position reports directly to the Deputy General Counsel/Director of Compliance and supports the work of the legal team under the Office of EVP/General Counsel. The Paralegal/Legal Associate must be comfortable interacting with employees at all levels under pressure while remaining enthusiastic, flexible, proactive, resourceful and efficient with a high-level of professionalism. The Paralegal/Legal Associate will assist with the day-to-day activities in the Legal Department and provide legal support to the Foundation’s program and operations staff while preserving the confidential nature of meetings and documents. A key responsibility of this position is to provide support with contract matters and compliance initiatives to a fast paced and growing Legal Department. To be successful, the candidate must have law firm and/or in-house transactional legal experience, and possess strong analytical/analysis skills, research techniques, and excellent verbal and written communication skills. Additionally, the candidate shall be highly motivated, capable of self-direction, able to work collaboratively, possess strong leadership qualities, take initiative on projects and apply sound judgment when solving problems. The candidate shall also possess an unwavering work ethic, integrity, and ability to listen carefully and communicate effectively.

Duties and Responsibilities:

  • Conduct legal and non-legal research, fact-finding and due diligence projects;
  • Compile data/library research, maintain/update working group lists and organize due diligence documents;
  • Develop analysis in connection with legal research, Foundation, contract and grant data;
  • Draft and review agreements, contracts, amendments, licenses, releases, leases, notices, grants and other legal documents;
  • Monitor contracts, insurance certificates and other supporting documents for renewal.
  • Prepare and deliver regular training to staff and vendors, as appropriate, on TCE contract policies and processes, and other TCE policies as directed.
  • Maintain and manage administrative contract database.
  • Prepare and review department and vendor payment check requests, and outside counsel invoices.
  • Assist with compliance training and presenting onboarding programs for staff, vendors and grantees;
  • Assist with special projects from the EVP/General Counsel and Deputy General Counsel/Director of Compliance;
  • Heavy record keeping and charting of data related to contracts, insurance certificates, independent contractor reviews and compliance matters;
  • Assist with the development and updating of Foundation policies, procedures and process documents;
  • Develop, maintain and update accurate electronic files, reports, dashboards and similar tracking mechanisms, as appropriate;
  • Manage the Foundation’s policy and procedure management (PPM) database, coordinate with policy owners on the annual review, assist with the update of policies and escalate pending reviews;
  • Coordinate and assist with conflict of interest (COI) trainings and maintain staff and board affiliation lists;
  • Collaborate with Grants Operations to prepare weekly executive team review committee (ETRC) docket and quarterly internal review committee (ICR) dockets.
  • Coordinate and maintain compliance filings for the Foundation.
  • Support and maintain the Foundation’s intellectual property portfolio;
  • Attend webinars, conferences and seminars on legal subjects related to contracting and compliance;
  • Coordinate document retention and destruction projects and maintain records of all off-site stored documents;
  • Prepare meeting agenda and presentation materials;
  • Participate in organizational workgroups, Legal Department, individual department, and Foundation meetings, as appropriate.

Qualifications:

The qualifications and responsibilities of this position and may be changed from time to time as shall be determined

  • Demonstrated ability to understand, negotiate and draft contractual terms
  • Ability to think critically/analytically and exhibit sound judgment
  • Excellent prioritization and time management skills
  • Excellent written and verbal communication skills, and strong proofreading skills;
  • Proficient in MS Office Outlook, Word, Excel and Acrobat Adobe; Visio and DocuSign proficiency a plus
  • Ability to summarize complex information clearly and accurately
  • Work well independently as well as within a team
  • Detail oriented with strong organizational skills and the ability to prioritize, problem solve and follow-up
  • High level of integrity, discretion and professionalism in dealing with individuals inside and outside the organization
  • React with appropriate urgency to situations and events that require a quick response or turnaround
  • Confident self-starter.

Education:

  • Bachelor’s Degree preferably in Business, Law, Public Policy or related field required
  • Juris Doctor from an accredited law school; or a Paralegal Certificate of completion or degree from an American Bar Association (ABA) approved paralegal program is highly preferred.

Minimum Experience:

  • Three years of transactional paralegal experience at a law firm, or similar legal experience.
  • Previous experience with contract review and drafting, legal research and project management
  • Foundation or corporate compliance experience, preferred but not required
  • Previous experience with nonprofits and grant making, preferred but not required
