POSITION SUMMARY

The Paralegal provides contract management and legal support to multiple divisions within the United States for VTech. This position is responsible for full life cycle contract management and administration. The Paralegal also focuses on managing projects in all stages of corporate transactions, litigation support, legal strategy, research, and policy recommendations, as well as the preparation of documents necessary to comply with federal, state, and local regulations in the conduct of business activities.

ESSENTIAL DUTIES & RESPONSIBLITES

  • Communicate with internal parties to facilitate a smooth, efficient, organized contracting, reporting, and record keeping process.
  • Draft, negotiate, analyze, and maintain existing contracts and manage the internal contract database.
  • Support multiple departments in day-to-day contract administration functions.
  • Manage and monitor contracts to ensure compliance with company's best interest.
  • Be the project manager of contracts in development through the redline process and distribution of documents for review among various stakeholders.
  • Ensure contracting policies are followed and best practices are maintained throughout the contracting process.
  • Manage and maintain a company-wide contract database and filing system.
  • Manage and maintain all aspects of the contract's life cycle.
  • Provide ongoing recommendation and implementation for process and tooling improvements.
  • Manage the process and workflow of worldwide trademark filing, prosecution, renewals through collaboration with stakeholders. Educate and advise clients on IP matters.
  • Compile and manage information for class action settlements in conjunction with outside counsel and 3rd parties.
  • Manage bankruptcy filings from our trading partners.
  • Field business questions regarding corporate legal issues. Resolve issues through independent legal research or conferring with outside counsel.
  • Respond, report, and ensure all necessary steps are taken for product liability claims in company's best interest.
  • Support litigation process with executive management and outside legal counsel.
  • Review advertising/marketing materials and product literature for potential issues.
  • Preserve products for archives and maintain relationships with legacy employees.
  • Manage workflow and monitory production and billing of outside counsel.
  • Provide ongoing support to ensure compliance of domestic and international subsidiaries and affiliate entities (including maintenance of corporate minute book).
  • Maintain corporate governance books.
  • Perform other confidential projects assigned by Executive Leadership.

POSITION SKILLS

  • Highly proficient in Microsoft Office (Word, Excel, and PowerPoint), and Adobe Acrobat. Experience with Office 365 preferred.

EXPERIENCE/EDUCATION

  • 5+ years of progressively responsible experience in the area of contract management, or as a transactional paralegal.
  • Bachelor's degree in paralegal studies or a related field and completion of an accredited paralegal training program; or any combination of experience, training, and education that provides the necessary skills, knowledge, and ability to perform essential functions of this role.
  • Master's degree is desirable

MANAGEMENT RESPONSIBILITY

This position has no management/supervisory responsibilities.

WORK ENVIRONMENT

This role is eligible to work remotely. Duties are primarily performed in an office type environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, and filing cabinets.

MENTAL AND PHYSICAL DEMANDS

Mental activities required by this job include constant decision making, discretion, problem analysis and resolution, independent judgment, and independent action. The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job.

The employee must read, speak, write, and understand the English language. The employee frequently is required to sit, stand, walk, and use their hands to handle and grasp, reach with hands and arms. The employee may be occasionally required to climb, balance, stoop, kneel, crouch or crawl.

The employee must frequently lift and/or move up to 10 pounds and occasionally lift and/or move up to 25 pounds 50 pounds if travel. Specific vision abilities may be required by this job include close vision, distance vision, peripheral vision, depth perception and ability to adjust focus with or without the use of prescription eyeglasses. (Only to be included if applicable for the role: Color vision required.)

POSITION TYPE/EXPECTED HOURS OF WORK

This is a full-time position, 40 hours per week, Monday through Friday. Core hours will be set between employee and manager and will be based on business needs. Occasional evening and weekend work may be required as job duties demand.

TRAVEL

Travel is primarily local during the business day. Out-of-the-area and overnight travel may be expected 0% of the time.
