Corporate Paralegal

The Role

We are looking for a person who will be responsible for providing paralegal support for the corporate legal function. The ideal candidate will be able to resolve time-sensitive issues with a high degree of precision, manage corporate processes, and exhibit strong written, and verbal communication skills.

What You'll Do

    • Maintain corporate records and assist corporate secretary function, including assembling board and committee packages and drafting minutes and UWCs
    • Respond to periodic internal and external auditor requests
    • Assist in drafting corporate documents and other general corporate work
    • Establish and maintain a worldwide legal entity management system, including managing recordkeeping and compliance of US and international corporate entities involving i) preparation of required filings, ii) formation and dissolution of entities, and iii) preparation and maintenance of corporate resolutions
    • Support preparing and filing various SEC filings, including Section 16 filings, 10-Ks, 10-Qs, 8-Ks, and proxy statements
    • Assist with administrative matters related to bank account maintenance and tax filings
    • Assist with both routine matters and projects with cross-functional teams including Equity, Finance, Treasury, Tax, and Investor Relations
    • Provide support with M&A and strategic investments
    • Work on other special projects
    • Responsibilities may change with time and expand based on abilities and interests

Requirements

    • Bachelor’s degree or a paralegal certificate
    • 4+ years of relevant corporate experience at a major law firm and/or in-house
    • Technically savvy and able to learn new software systems quickly
    • Strong work ethic, detail-oriented, and self-motivated
    • Strong ability to organize, prioritize and coordinate multiple work activities while meeting deadlines
    • Excellent oral and written communication skills
    • Team player with the ability to work independently, manage multiple projects concurrently, prioritize and meet deadlines
    • High level of accuracy, strong attention to detail and excellent proofreading skills
    • Ability to maintain a high degree of confidentiality/discretion
    • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint) and Gmail and Gcal
    • Positive, can-do attitude!
    • Ability to adapt to and thrive in a fast-paced environment

Nice to Have

    • In-house public company experience
    • Legal entity management experience in a global company with numerous international legal entities
    • Licensed notary public
    • Proficiency in Workiva and Smartsheets (or other project management tool)
