Responsibilities:
As an Assistant General Counsel at Hines, you will report to the Vice President- Associate General Counsel and work as an experienced joint venture negotiator and the team leader for attorneys supporting joint venture transactions and related matters within the United States. Responsibilities include, but are not limited to:
  • Supervise a small team of attorneys who focus on joint venture negotiations
  • Act as lead in negotiating, drafting and closing joint venture and related agreements for real estate investments sponsored by Hines
  • Assist with deal structuring and related entity formation
  • Liaise with Compliance Department to assist in responding RFPs, Due Diligence Questionnaires etc.
  • Assist with other non-real estate corporate and business contracts
  • Directly manage and provide ongoing training/mentorship to junior attorneys and legal administrative staff
  • Develop best practices including legal templates, policies, procedures, guidance documents, etc.…
  • Provide practical legal and business advice to internal clients, including risk assessment regarding transactions
  • Interface with numerous departments and functions within the Company to work effectively and provide a high-level of service to clients and business partners
  • Experience selecting and monitoring panel of outside law firms a plus
Qualifications:
Minimum Requirements include:
  • J.D. degree from an accredited law school
  • Ten or more years of leading real estate joint venture formation and negotiations; in-house experience preferred
  • Solid exposure to real estate transactions
  • Familiarity with compliance, securities/broker-dealer and general corporate matters
  • Experience delegating and supervising work of other attorneys
  • Licensed to practice law in the state of Texas
  • Strong academic credentials from a top tier US law school
  • Experience selecting and managing outside counsel
  • Highly confident, articulate, self-motivated, self-sufficient, and enthusiastic individual who is a team player
  • Entrepreneurial mindset and focus on outcomes over output
  • Ability to travel periodically
