Responsibilities

Reporting to the General Counsel, our new Assistant General Counsel, Commercial will be a key member of CalAmp’s legal team and will assist with the management of day-to-day operations of the company’s legal functions. You will interface with both internal and external constituents and play a key role in CalAmp’s growth and innovation. Your responsibilities will include:
  • Advise internal and external CalAmp stakeholders of the legal, economic, and practical aspects of proposed transactions and contracts, licenses, and other legal work.
  • Draft, negotiate and advise on a wide variety of commercial contracts including SaaS agreements, distribution agreements, vendor agreements, supply agreements, licensing agreements (technology or data/content), hosting services agreements, NDAs and consulting agreements.
  • Work closely and professionally with others in the Legal Department, to identify and appropriately escalate complex legal and factual issues and assist in their resolution.
  • In concert with the Sr. Director of Contracts Management, effectively track, oversee, and administer all stages of the transactional process, including keeping business leaders apprised of deal progress, and bringing closure to transactions.
  • Promote continual improvement, development, optimization, and implementation of contracts processes, templates, workflows, and standards.
  • Provide corporate transactional support, including corporate financings and mergers and acquisitions and SEC compliance and reporting.
  • Provide legal support to the finance and tax departments, including assistance with corporate governance for domestic and international subsidiaries.
  • Oversee the legal aspects of CalAmp’s real estate matters.
  • Oversee contracts administration function.
Qualifications

Must Haves
  • Juris Doctorate (JD) degree
  • At least 5 to 10 years’ experience in corporate law
  • Technology industry experience with a solid understanding of SaaS agreements and technology licenses
  • In-depth knowledge of securities law and SEC reporting
  • Mergers & Acquisitions (M&A) experience
  • Experience advising business teams on a variety of business models and structures
  • Strong organizational and communications skills
  • Excellent interpersonal skills and ability to work collaboratively in a team environment with internal and external contacts at all levels
  • Ability to work independently, shift focus, adapt to changing priorities, maintain patience in high pressure situations and take initiative where appropriate
  • Strong customer service focus and flexibility
  • Willing and able to work in our Irvine HQ (post-pandemic)
  • Active member of the California State Bar (or eligible to practice as Registered In-House Counsel)
Strong Pluses
  • Experience with Concord Contract Management System (CMS)
  • Experience supporting foreign subsidiaries
  • Public company experience, either as outside or in-house counsel
