Responsibilities:

• Work cross-functionally across Pangaea's legal matters including, but not limited to, general corporate matters and commercial contracts; privacy and data security matters; employment and litigation matters; IP and technology licensing; compliance and international; transactional matters, and legal operation
• Provide strategic advice on legal matters with the objective of ensuring that Pangaea's business strategies, policies, and programs are well developed and legally sound
• Own structuring, negotiating and drafting a variety of contracts and commercial agreements such as master service agreements, vendor agreements, author royalty agreements, partnership agreements, employment agreements, NDAs, and professional services agreements
• Select, retain and manage relationships and matters with outside counsels in various markets and functions
• Serve as lead counsel on transactional matters, including complex strategic transactions
• Own and manage Pangaea's brand and product IPs
• Own and manage Pangaea's global privacy compliance

Requirements:

• JD from a top law school and admitted to practice, preferable in California
• 10+ years of experience practicing law with a combination of law firm and in-house experience
• Previous General Counsel or Associate General Counsel experience is a strong plus
• Experience leading companies through financing and M&A transactions; IPO experience would be a plus
• Experience managing and building out the legal and compliance functions at a fast-growing startup is a plus
• Data privacy, digital right, and copyright experience a plus
