Job Description

Zendesk is seeking an Associate Counsel for Commercial-Legal’s support of our global Procurement organization, including management of vendor negotiations and related privacy document reviews globally, in addition to handling playbooks, processes, and vendor contracts. This position can be remote or work from any of Zendesk’s physical offices.

This attorney role will be responsible for supporting negotiating a wide variety of supplier and vendor engagements, which includes handling inquiries about data privacy, commercial legal terms, and policies, while being responsive to the business needs of the organization, assessing risk, and adhering to company policies.

This attorney will also support other Commercial Legal functions as required and bandwidth allows, including support of other revenue-generating transactions, strategic projects, intra-departmental issues, and cross-departmental collaborations.

Responsibilities

  • Provide legal support to Zendesk's Procurement organization and handle the full transaction lifecycle from drafting to execution, including contract generation, redlining, exhibit coordination, approval escalation, record management and post-execution support.
  • Develop and maintain contract templates, playbooks and processes that facilitate Legal’s support of purchasing and vendor engagement efforts across the globe.
  • Engage in regular dialogue across the full Commercial-Legal team to identify and implement efficiencies and continuous process improvements.
  • Participate in training of Procurement and other company personnel regarding Legal operations and processes.
  • Serve as a primary point of contact to Procurement and Security to answer routine questions regarding the Commercial team’s templates, playbooks and processes.
  • Work on various other projects to improve the Commercial Legal practice as required.

Qualifications

  • Licensed to practice law in a state within the United States.
  • 4+ years of substantive commercial legal experience, preferably supporting data privacy focused procurement matters in private practice or in-house at a SaaS technology company.
  • Experience with SaaS technology transactions and commercial regulations that apply to SaaS technologies globally across all jurisdictions.
  • Experience with privacy and data protection laws, regulations and standards, including GDPR and CCPA, preferably in the technology context.
  • Expertise in drafting and negotiating vendor commercial agreements typical to the technology sector, such as Evaluation Agreements, NDAs, Services Agreements, Data Processing Agreements and technology partnership agreements.
  • Ability to work closely with Procurement, Finance, and Security teams collaboratively.
  • Capacity to work in a high volume environment while remaining analytical and meticulous.
  • Ability to lead a process from start to finish and implement processes independently.
  • Experience developing and maintaining efficient processes for a lively Commercial Legal team.
  • High degree of tech savvy to facilitate completing projects quickly, independently, and with minimal direction (though you’ll always have the support you need!).
  • Strong collaboration skills and the ability to glean insights from verbal conversations with internal partners and translate those insights into work product.
  • Strong organizational, project management, and execution skills.
  • Strong experience in developing, implementing, and using legal department technology solutions.
  • Excellent analytical, problem-solving, social, oral and written communication skills.
  • Ability to thrive in a fast-paced environment and efficiently handle multiple deadlines.
  • Resourcefulness with ability to collaborate with other team members and other cross-functional departments on complicated projects.
  • Ability to exercise sound judgment on key decisions in the contracts administration function, including recognizing circumstances that require escalation.
  • Ability to build strong relationships by focusing on internal customer needs, developing solutions, and delivering prompt and accurate information.
  • Ability to review legal documents and accurately communicate legal positions internally and externally.
  • Willingness to do hands-on work, ability to handle uncertainty and ability to help further define the function as it relates to a changing environment.
  • Ability to make independent decisions timely and understands business needs and urgency of request fulfillment.
  • Must be comfortable handling and prioritizing challenging priorities and frequent interruptions while maintaining close attention to detail, accuracy, and timeliness.
  • A proactive, collaborative and flexible approach. You will actively seek out ways to contribute to the efficiency of the department and will diligently work to own and accomplish projects without prompting.
  • A high energy level and positive demeanor when communicating with lively internal clients, teammates, and partners outside the organization!
