- Support our commercial and sales teams across the US in drafting and negotiating SaaS deals and related agreements (MSA, SLA, NDA, partnerships, ...)
- Guide, assist and advise our internal teams (e.g. finance, information security, compliance, procurement, …) on a variety of matters (e.g. contracting, regulatory, data protection, IP, risk assessment, ...).
- Offer legal advice, perform due diligence and offer support for specific or ad hoc legal projects that help to drive and maintain our high growth (including Privacy, IP, M&A, …).
- Review, manage, and update our templates, terms & conditions, contract documentation, and policies as needed to align and comply with legal requirements.
- Support post signature contract management activity, including collecting meta-data and maintaining our filing system.
- Commit to continuous learning and innovation
Required Skills for a Privacy Counsel at Showpad
- J.D. degree and license to practice law in at least one US jurisdiction
- Deep understanding of SaaS (Software as a Service) contracting and commercial models, and international contracting best practices and standards
- Ability to negotiate complex commercial agreements with sophisticated software buyers
- 3+ years of legal experience, including at a law firm and/or in-house experience with an internet or technology company
- Ability to work independently
- Has a sense of urgency and responsibility.
- Enjoys working close with the business and keeping the focus on a positive outcome
- Motivated and dynamic team player with an eye for detail and an eagerness to learn.
- Well-organized, and able to balance multiple projects at the same time and communicate with stakeholders accordingly
- Able to meet tight deadlines
- Critical and creative thinker with a growth mindset
