About the role:

The Senior Counsel, Securities will be a strategic partner to our Finance and Accounting, Compensation, and Investor Relations teams.

The Senior Counsel will ensure compliance with our public company obligations, including our SEC filings and insider trading, Section 16 and Regulation FD requirements. Also, the Senior Counsel will provide counsel for capital markets transactions, and will support the Company's corporate secretary function.

You will report to the Deputy General Counsel. This is a remote / work-from-home role. You must reside in one of the following states: Arizona, California, Connecticut, Florida, Georgia, Illinois, Maryland, Massachusetts, Michigan, New Jersey, New Mexico, New York, North Carolina, Ohio, Pennsylvania, Rhode Island, Tennessee, Texas, Utah, Virginia, or Washington. Responsibilities:

  • Lead attorney for providing legal advice and support for our SEC filings, including Forms 10-K, 10-Q, 8-K and Proxy Statement
  • Collaborate with SEC reporting team to implement disclosure controls and procedures
  • Provide support to the General Counsel and Corporate Secretary, and serve as a company resource for corporate governance issues
  • Provide strategic counsel for capital markets transactions
  • Manage compliance with Regulation FD, NYSE requirements, insider trading policy and Section 16 and 10b5-1 programs
  • Partner with Finance, Accounting, Treasury, Investor Relations, Compensation and a variety of other business clients to solve complex business problems
  • Provide strategic and pragmatic guidance, advice, and engaging training programs to improve the business's understanding of relevant public company legal and regulatory requirements
  • Maintain trusted relationships with cross functional leaders to ensure our needs are met and constantly evaluate opportunities for improvement
  • Help to develop, implement and continually improve Company and team processes and procedures
  • Manage a team of paralegals

Requirements:

  • JD required, with 7+ years of relevant experience at a top tier law firm and/or in-house
  • Active law license in good standing with the ability to register as in-house counsel in New York state, or alternatively, admittance in New York state
  • Experienced securities attorney, with public company experience, including with the Securities Act of 1933 and the Securities Exchange Act of 1934, and experience with a variety of complex corporate securities and financing transactions
  • Experience and understanding of corporate law, corporate governance and contract drafting and interpretation

Bonus points:

  • Experience working in the healthcare industry or insurance industry
