The Division Counsel, Joint Replacement is primarily responsible for proactively handling a broad range of legal and compliance matters associated with the Mako business unit in Stryker’s Joint Replacement division. The Division Counsel works closely with Mako (robotic-arm assisted joint replacement surgery) business unit leadership and functional partners on a variety of legal and strategic business issues, including Capital Sales/Service, Marketing, Education, Robotic Technology, and Data Analytics. This is a leadership position that significantly impacts the strategy of a function within a business unit.

  • Leader representing the legal and compliance department on the Mako business unit leadership team – responsible for a significant number of issues, prioritizing, and delivering timely results

  • Provide analysis and timely counsel on various relevant legal issues as they arise, including but not limited to medical device regulations, intellectual property, employment, mergers and acquisitions, data privacy, competition law, anti-corruption / anti-bribery laws, liability avoidance and sales, marketing and research related issues.
  • Independently draft, review, negotiate and advise on various types of agreements, including Sales, Services, Supply, Distribution, Consulting, Clinical Study, Non-Disclosure, Employment and other commercial agreements in support of resolving complex commercial matters.
  • Conduct legal analysis and provide timely counsel on laws, rules, regulations, and Stryker policies related to Stryker’s interactions with healthcare professionals, both in the US and outside the US, including but not limited to the US anti-kickback law, the FCPA and other local anti-corruption laws, and helping to ensure that Stryker’s compliance program in this area is robust and effective at minimizing risk in this area.
  • Partner with the commercial functions of Stryker Orthopaedics’ divisions in developing and implementing capital sales and financing programs, marketing campaigns, and research and development timelines and related product/software launches.
  • Handle legal and compliance matters with an overall view to mitigate legal and compliance risk, provide proactive and solutions-oriented legal advice that advances business objectives, resolve legal disputes to achieve the best result for the Company, and represent the Corporation’s legal interests.
  • Decisions will affect multiple areas of the organization including regulatory, finance, human resources, operations, supply chain, manufacturing, R&D, sales, and marketing, among others, divisions, and geographies.
  • Partner closely with legal and compliance centers of excellence, including Strategic Contracting, Data Privacy and Security, Intellectual Property, Product Liability, Employment and Regulatory colleagues.
  • Actively supervising and strategizing with outside counsel
  • Responsible for contributing to solutions to complex problems, as well as prioritizing multiple issues and coordinating with large project groups to develop solutions to complex problems, which could have a significant impact on the company
  • Manage or assist in managing litigation and legal claims matters involving Stryker’s Joint Replacement division through interactions with Stryker’s in-house Legal team and outside counsel.
  • Review marketing, promotional and scientific activities and materials for compliance with Stryker policies and applicable laws and regulations.
  • Identify and encourage efforts within the Legal and Compliance Department to streamline and continuously improve legal and compliance services.
  • Effectively collaborate with and support colleagues in the Legal and Compliance functions.
  • Partner closely with the Compliance Department on compliance initiatives, policies and programs and ensures Stryker’s Joint Replacement division is in compliance with applicable laws, rules, regulations and policies. Assists the Compliance team in managing a robust compliance program to address key compliance risks.
  • Partner closely with Legal Department personnel supporting countries outside the US in connection with Stryker Corporation’s legal and compliance matters.
  • Follow and implement internal processes and procedures to support compliant business operations.
  • Provide in-house training and education to business stakeholder to ensure an understanding of applicable laws, regulations and Stryker policies.

Minimum Qualifications

  • Minimum 5 years applicable professional experience; prior professional experience considered
  • Demonstrates good judgment and professional demeanor
  • Requires a comprehensive understanding of and enterprise level leadership interaction with all areas of the organization including other functions (regulatory, finance, human resources, operations, supply chain, manufacturing, R&D, sales, and marketing, among others), divisions and geographies
  • Requires frequent and leadership-level interaction with outside organizations including industry associations, law firms, vendors, customers, government agencies, court systems, regulatory authorities, law enforcement authorities, consultants, health care professionals, and contractors, among others
  • Demonstrates ability to work effectively with colleagues in a global organization
  • Embraces and supports change in a dynamic environment
  • Ability to work independently and in a team
  • Possesses good analytical and drafting skills
  • Experience providing legal advice in a highly regulated environment preferred
