The Opportunity
The Wildlife Conservation Society (“WCS”) seeks a Paralegal to join its dynamic, collegial in-house legal team, working on a wide range of legal, business and institutional matters. This individual will have the opportunity to contribute to WCS’s mission by enhancing contracting and compliance systems and working collaboratively with colleagues in the Office of General Counsel (“OGC”) and across departments in support of WCS. This position will report to the General Counsel and provide support to all the attorneys in OGC.

Responsibilities
Manage and assist with city, state, federal and international regulatory compliance efforts
Conduct and assist with legal research projects
Prepare and maintain corporate records including corporate books, minutes, resolutions and certificates for WCS and its domestic and international affiliates
Assist with governance and compliance issues regarding local and international affiliates and branch offices, including annual filing requirements and registration
Draft/edit/review correspondence and memoranda
Prepare powers of attorney, officer’s certificates and signature delegations
Review and revise contracts, filings and other documents prepared by others
Maintain and update agreement templates
Proofread and edit legal documents and filings to ensure accuracy, consistency, and compliance with law
Provide advice and recommendations to attorneys, procurement and other internal clients
Prepare and/or assist with the completion of periodic government reports, filings and registrations
Assist with management of contract files, business records and electronically stored information
Assist with preparations for board and committee meetings
Assist with management and organization of intellectual property resources
Prepare and manage records and filings related to assets such as aircraft and watercraft
Provide support and prepare filings regarding immigration matters
Create and maintain database(s) as may be required
Additional duties as assigned by the General Counsel

Qualification Requirements

Minimum Requirements
Bachelor’s degree
3-5 years full time paralegal experience in house or with major law firm in at least one of three core competencies: corporate, litigation or compliance
Excellent written and verbal communication skills
Excellent research and writing skills
Excellent organizational skills, and acute attention to detail
Proven ability to multi-task and effectively prioritize in a fast-paced environment
Ability to network effectively and collaborate internally and externally
Proven ability to take initiative and work independently; self-motivated and adaptable
Proven ability to work effectively in a multi-cultural team environment both onsite and virtually
Ability to exercise judgment and maintain confidentiality and professionalism
Strong follow-through on delegated tasks and assignments
Working knowledge of standard office technology, equipment and procedures
MS Office and Outlook proficiency of at least intermediate level
Appreciation for WCS’s mission

Preferred Qualifications
Formal paralegal training and/or certification from the American Bar Association
Experience managing corporate books and records
Online and Westlaw/LEXIS research proficiency of at least intermediate level; experience with PACER and CM/ECF record review
Familiarity with New York City and State Administrative Code
Knowledge of licensing or permitting regimes (e.g. environmental, liquor, FAA, FCC), trademarks and copyrights, and/or institutional review board (IRB) rules.
MS Excel proficiency of at least intermediate level
Proficiency in Spanish and/or French desirable

Workplace Conditions and Environment:
Some evenings, weekends and holiday work may be required.
