POSITION SUMMARY:

Reporting directly to the General Counsel, the Assistant General Counsel will provide support on a wide variety of corporate matters including M&A, contracts and possibly financing transactions. The position also provides support to the client groups within the company. Minimal travel required.

KEY ACCOUNTABILITIES AND RESPONSIBILITIES:

  • Providing counseling to business units on a variety of matters.
  • Drafting and negotiating variety of contracts involving the Corporation’s operations, including sourcing, supply, manufacturing, transportation and distribution agreements.
  • Provide legal advice as needed on proposed mergers, acquisitions and equity investments.
  • Providing legal support for potential international transactions and joint ventures.
  • Structuring and documenting potential financing transactions.

Qualifications


JOB REQUIREMENTS
:

Education and Related Experience:

  • Law Degree from leading law school and/or accredited law school with high academic credentials

Bar Admission:

  • Illinois

Years of Experience:

  • Minimum 10 years experience as a corporate lawyer at a first-tier law firm or law department with transactional experience. A combination of law firm and in house experience is preferred.

Knowledge, Skills, and Abilities:

Required:

  • Strong working knowledge of corporate, contract and commercial law.
  • Experience in mergers and acquisition, international and joint vnclentures.
  • Experience in financing transactions, including advising business units on loan and covenant compliance.
  • Ability to quickly and accurately recognize areas of risk/opportunity.
  • Strong customer service orientation.
  • Experience working effectively with all levels of management and as member of legal and business teams.
  • Strong problem solving skills and business instincts—a creative thinker.
  • Grasp key drivers of the business and industry quickly.
  • High integrity and professionalism. Grounded and resilient.
  • Strong business acumen with knowledge of financial principles and practices.
  • Gravitas and executive presence. Self-confident and immediately credible, with the outstanding written and oral communication skills needed to effectively develop relationships and communicate, influence and persuade at all levels.
