JOB SUMMARY:

HCA Healthcare is seeking an in-house counsel in Nashville, Tennessee. Counsel will have primary responsibility for managing legal activities relating to mergers, acquisitions, divestitures, joint ventures and other strategic transactions. This position will report to the Vice President – Legal Development of HCA’s Legal Department and will work directly with HCA’s Development Group.


RESPONSIBILITIES:

  • Lead legal support of M&A transactions, including coordination of legal strategy, risk management and due diligence
  • Draft and negotiate transaction agreements, including confidentiality agreements, letters of intent and definitive agreements
  • Manage transaction processes and drive continuous process improvements of such processes
  • Provide advice and counsel on legal aspects of transaction
  • Direct legal aspects of post-closing integration of acquisitions and joint ventures
  • Manage outside counsel support of transactions and serve as liaison between outside counsel and HCA’s Development Group

  • Supervise paralegal and other legal personnel

EDUCATION:

Juris Doctorate (JD) from accredited law school and active membership in at least one state bar

EXPERIENCE:

10+ years of experience in relevant in house and/or law firm with M&AA focus, and healthcare M&A preferred.
