KEY RESPONSIBILITIES AND DUTIES:

Associate General Counsel
Provides legal advice to an organization, prepares resolutions and forms, and participates in major legal actions.

Key Responsibilities and Duties
  • Providing foresight and protection for the company against legal risks.

  • Preparing and examining contracts involving leases, licenses, purchases, sales, insurance, etc.

  • Coordinating proactive completion of discovery as a case may require, i.e. interrogatories, request for production of documents, depositions.1

  • Managing all phases of litigation in cases involving employment discrimination, breach of contract, wrongful discharge and unfair labor practice claims.

This position is open across the U.S. with preferred locations in Charlotte, NY and Denver.

  • Provides support to TIAA's Products & Insurance Law team.
  • Provides legal advice in connection with the issuance and maintenance of fixed and variable annuities, investment advisory programs and other products and services.
  • Drafts and files SEC Registration Statements and works on disclosure documents supporting unregistered securities products and services.

Qualifications:

Required Qualifications:

  • 5 Years of experience as counsel in a major law firm and/or an in-house legal department, with a focus on Federal Securities Laws and/or state insurance laws is required.
  • JD Degree required

Preferred Qualifications:

  • Current State Bar License
  • Experience with legal work supporting the Investment Company Act of 1940
  • 7 Years of experience as counsel in a major law firm and/or an in-house legal department, with a focus on Federal Securities Laws and/or state insurance laws is preferred.
  • 5 years of Legal experience with an emphasis on fixed and/or variable annuity products is preferred
  • Experience with pension products such as custom portfolios, collective investment trusts, investment advisory services and/or stable value products is a plus.

Minimum Pay: $100,836.00
