What you'll get to do...

  • Draft, review, and negotiate a variety of commercial agreements, including manufacturing agreements, master service agreements, statements of work, distribution agreements, purchase orders, consulting agreements, lease agreements, and other customer or vendor agreements, using Company templates or third-party forms
  • Review and assess various legal/contractual issues related to SaaS, cloud computing, open source software, and licensing agreements
  • Lead contract negotiations with customers and vendors and ensure agreements comply with Company policies and procedures
  • Advise the business on legal implications of potential contract terminations and disputes
  • Identify legal and business risks in various agreements and communicate risks to appropriate internal decision makers
  • Collaborate with cross-functional groups, including Procurement, Legal, Finance, and Tax, to ensure all requirements and internal customer needs are met
  • Identify and implement process improvements, and support updates to internal playbooks, templates, and processes
  • Manage and optimize contract management system
  • Work with outside counsel, as needed
  • Ensure contracts accurately address business needs, while protecting the Company’s legal interests
  • Support company’s sanctions program, including managing data collection and alert remediations
  • Support PayFac and/or money service business licensing requirements and compliance

Your experience should include...

  • Law degree required
  • Active member of a U.S. State bar.
  • 5-7 years of experience as a practicing attorney in a leading law firm and/or large in-house department
  • Proven experience reviewing and negotiating complex contractual arrangements
  • Strong negotiation and communication skills
  • Experience with OFAC/sanctions screening, KYC compliance and/or PayFac/Money Services Business licensing and compliance
  • Experience supporting intellectual property matters, advising on marketing/brand initiatives, supporting product naming reviews, and patent reviews
  • Experience supporting a corporate sales or procurement organization
  • Experience with contract management systems, preferably Icertis Contract Management
  • Experience supporting data privacy or security matters
  • Experience supporting a global workforce
