Associate General Counsel – M&A
Position Description
EyeCare Partners is a fast-growing private equity-backed platform company that provides management support services to optometry and ophthalmology practices and ambulatory surgical centers throughout the United States. The Associate General Counsel – M&A will work under the direction of and in support of the General Counsel, and will be a dedicated resource to the Integrations Department. This individual will work alongside outside counsel to review deal structure and diligence materials in order to support business unit leaders in preparing for and executing on integration of medical practices onto the EyeCare Partners platform. The position involves coordinating, drafting, negotiating and/or reviewing contracts across a variety of types and subject matters, including real estate, employment and supply agreements; assisting with licensing and interacting with government agencies; and providing advice on the necessary processes, programs, policies and procedures for employees at all levels that have legal and/or compliance considerations.
Key Roles and Responsibilities
Responsible for supporting the transaction process through and after closing
Advising on transaction documents and structure
Reviewing the results of the due diligence process.
Advising executive and senior management on various matters such as legal rights, and new and existing laws
Examining and creating agreements, such as employment and vendor agreements
Maintaining knowledge of organization's operations and legal documents
Promulgating and creating directives of corporate acts and decisions
Preserving corporate records
Handling statutory filings, such as licensing forms
Liaising with outside counsel regarding their assignments
Creating new entities and maintaining existing entities
Assisting with legal documentation regarding mergers and acquisitions, real estate transactions, etc.
Assisting the General Counsel in developing, adapting, and leading corporate compliance programs
Partnering with the Integrations function to ensure readiness for acquisition integrations
Key Attributes
Juris Doctorate degree and a member of at least one state bar association
Significant experience in Mergers and Acquisitions
Minimum of 5 years' practice with an established law firm or corporate legal department
Experience within a complex corporate institution preferred
Prefer some experience in health care
Proven ability to manage diverse relationships, exceptional communicator, and ability to work collaboratively in a matrixed relationship with line and staff areas
Preferred experience with private equity stakeholders
Knowledge of regulatory impact on multi-state/multi-unit health care operations
