General Summary

Attorney position within the Corporate Legal Department at Constellation Brands, reporting to Vice President, Associate General Counsel. *This role will be remote to start. Preference towards candidates willing to work out of our Rochester, NY office. Relocation is available.

Responsibilities

  • Work as part of the Company’s legal and corporate secretary team to:
    • Provide corporate secretarial support for domestic subsidiaries, including planning and preparation of materials for Board and Committee meetings and consents, preparation and drafting of corporate resolutions, and meeting minutes.
    • Work closely with operating company management to anticipate and expedite governance requirements for execution of business plans and strategies
    • Advise on and oversees the formation, reorganization and liquidation of corporations, limited liability companies, joint ventures and partnerships
    • Prepare complex resolutions, notices, waivers, etc. for board and stockholder meetings
    • Participate in due diligence effort in corporate restructurings
  • Work as part of the Company’s global privacy legal team to:
    • Advising on U.S. information security and data privacy legal requirements in third party contracts, including negotiating and advising on federal, state, and international required contractual terms and best practices
    • Developing security and data privacy template contracts, providing counseling on the use of such templates, and updating the same to reflect changes in business needs and security and data privacy laws and regulations, guidance, and best practices. Monitoring and advising on implementation of new governing security and privacy laws in America and other designated jurisdictions
    • Working with colleagues to develop and provide business partners general and targeted relevant legal counseling and training on privacy and security subject areas
  • Represent and support the company’s business objectives via effective advocacy, legal counseling, and legal advice to all levels of the global organization on corporate legal matters
  • Draft, review and negotiate transactional, policy, training and other documents related to corporate legal functions
  • Identify, monitor, and track relevant areas of risk, make suggestions for managing risk and advise management of developments and best practices
  • Develop legal strategies and direct efforts of outside counsel on a variety of assigned projects
  • Collaborate effectively with other specialists, internal attorneys and other functions on corporate governance and compliance matters

Required Qualifications

  • J.D. from accredited law school and licensed to practice law
  • Admission to and good standing in relevant state bar
  • Minimum of 7 years of progressively responsible experience in in-house corporate legal department or within a corporate legal department at a private firm, in each case, representing complex multinational public company clients. A combination of both in-house and major law firm practice experience is preferred
  • Strong understanding of the Delaware Corporation Law and proficiency in the principles and practice of major aspects of corporate law (including mergers & acquisitions; business acquisitions and sales; due diligence; contract negotiation and preparation; corporate governance and compliance)

Recommended Qualifications

  • Experience working with consumer product or beverage alcohol companies preferred

  • High proficiency with Microsoft Word, Excel, PowerPoint, and Teams

ADA Physical/Mental/Workplace Requirements

  • Occasional lifting up to 25 lbs.
  • Sitting, working at desk/personal computer for extended periods of time
  • Primary work environment is professional corporate office
  • Ability to travel commercially
