About the role:
The Associate General Counsel is responsible for supporting the company and its affiliates on all corporate, real estate and regulatory matters.
What you'll do:

Negotiate and draft agreements, contracts, and other legal instruments to both protect and further the company's interests

Assist in reviewing and preparing documentation for various transactional matters, including commercial real estate transactions, banking agreements, financing transactions, and instructing and managing outside counsel with respect to the same

Provide assistance and support to fellow legal team members on a wide range of corporate and real estate transaction matters

Prepare corporate formation and maintenance documentation, including operating agreements, bylaws, resolutions, and incumbency certificates

Communicate and negotiate directly with a variety of outside industry professionals, as well as government entities, to further and protect the company’s business interests
What you'll need:

JD required, with strong academic background
-
Active member, in good standing, of the California Bar
-
5+ years of business transactional experience with emphasis on real estate transactions, with first-hand experience and exposure to: independently drafting credit facility related documents, security agreements, leasing and loan documents, corporate governance documentation and commercial and residential real estate transaction documents

Excellent verbal, written and interpersonal communication skills

Ability to interact with all levels of management including executive management and board of directors
