About the role:

The Associate General Counsel is responsible for supporting the company and its affiliates on all corporate, real estate and regulatory matters.

• Negotiate and draft agreements, contracts, and other legal instruments to both protect and further the company's interests
• Assist in reviewing and preparing documentation for various transactional matters, including commercial real estate transactions, banking agreements, financing transactions, and instructing and managing outside counsel with respect to the same
• Provide assistance and support to fellow legal team members on a wide range of corporate and real estate transaction matters
• Prepare corporate formation and maintenance documentation, including operating agreements, bylaws, resolutions, and incumbency certificates
• Communicate and negotiate directly with a variety of outside industry professionals, as well as government entities, to further and protect the company’s business interests

• JD required, with strong academic background
• Active member, in good standing, of the California Bar
• 5+ years of business transactional experience with emphasis on real estate transactions, with first-hand experience and exposure to: independently drafting credit facility related documents, security agreements, leasing and loan documents, corporate governance documentation and commercial and residential real estate transaction documents
• Excellent verbal, written and interpersonal communication skills
• Ability to interact with all levels of management including executive management and board of directors
• High level of ethics and integrity
• Effective time management skills and ability to meet deadlines
• Ability to quickly learn new applications, processes, and procedures
