This is a unique opportunity to join Brooks Automation as the Vice President & General Counsel (GC) as we become an independent public company following a separation from our parent company. The new Brooks Automation will be comprised of the Company’s Semiconductor Automation business, with a strategic focus to expand into other general Automation markets. Position Overview:
Reporting to the Chief Executive Officer, the GC will provide global legal counsel on all regulations, statutes, and corporate governance issues applicable to a U.S publicly traded company with worldwide operations. The GC will also provide leadership and legal perspectives on the Company's commercial operations and SEC reporting and serve as the Corporate Secretary to the Board of Directors. The job is based in our Chemlsford, MA headquarters and requires occasional domestic and international travel.
Key Responsibilities : Review and negotiate complex customer (OEM and End-User) sales contracts, channel partner contracts and services agreements, while working collaboratively with business leaders across multiple business units
Manage all legal matters for the Company and its subsidiaries.
Collaborate with the CEO and executive leadership team on business growth and corporate development activities related to M&A and organic strategies.
As Corporate Secretary, liaise with and advise the Board of Directors on applicable legal and corporate governance issues.
Manage SEC filings, proxies and statutory and regulatory compliance in addition to the integrity of the corporate governance framework.
Manage outside counsel, including with respect to M&A, SEC, employment, and litigation matters.
Lead and manage internal legal department, including internal intellectual property counsel and commercial counsel.
Manage any dispute resolution and/or litigation that might arise in the conduct of the Company's business/relationships with external parties.
Provide day-to-day legal advice, in a pragmatic and collaborative manner, to assist the business in achieving its goals/objectives.
Review, analyze and keep current on all federal and state legal developments affecting the Company.
Collaborate with the Chief Financial Officer on activities related to corporate financing, external reporting and SEC compliance.
Collaborate with the CHRO on employment matters including labor law compliance.
Organize and lead the Company's Environmental and Social Governance (ESG) activities.
Position Requirements:
Juris Doctor (JD) degree from an accredited law school, with 10+ years of relevant legal experience and 5+ years of in-house experience at a publicly traded company.
Prior public company general counsel experience preferred.
An excellent strategist and negotiator.
Strong knowledge of corporate governance issues.
Demonstrated experience drafting, reviewing and negotiating a wide variety of agreements.
Exceptional written, oral and presentation skills, with ability to effectively communicate and collaborate with co-workers, management and the Board of Directors.
Must be a highly organized, self-motivated, hands-on executive who functions effectively in a team environment.
A strategic thinker with demonstrated ability to express complex ideas, present results, and translate legal terminology to various levels of management.
