JOB DESCRIPTION | Associate Contracts Counsel

The Associate Contracts Counsel serves as the frontline negotiator on various agreements with clients including NDAs, software license agreements, SOWs, reseller and other relevant contractual documents, and acts as liaison to other internal departments as necessary to obtain input from and escalate issues to appropriate stakeholders and senior management. This role requires working with Sales personnel to ensure all negotiated contracts are accurate and contain appropriate terms based on commercial considerations, including protecting future revenue, without compromising compliance with Experian’s policies and risk postures. The ability to make convincing arguments and remain firm against issues contrary to the best interests of the company while still advancing the deal is critical to this role.

What you’ll be doing

The successful candidate will need to be able to thrive in a fast paced, results-oriented environment, creatively solve problems and think on their feet, have exemplary communication skills, and be adept at relationship building. This individual must be a self-starter and capable of working with minimal direction, can adjust to new situations quickly, and be comfortable interacting with multiple stakeholders, both internal and external to Experian.

  • Negotiate and draft a variety of agreements with customers and prospects, including software license and services agreements, order and renewal documentation, statements of work and NDAs.
  • Find creative solutions that meet both Experian’s and its clients’ business and compliance needs and ensure that contracts comply with Experian policies, business practices, and regulatory requirements
  • Coordinate with various stakeholders and subject matter experts in various roles, including information security, internal and regulatory compliance, sales, product marketing, corporate legal, and finance to help drive transactions to successful completion within the required (and oftentimes aggressive) time frame
  • Enforce contracting policies, which may involve obtaining and documenting approvals for non-standard terms and pricing, assisting sales teams with on-going administration of client contracts, advising management on contractual terms and risks, and providing training to sales and other departments on contract issues and negotiation strategies
  • Support ongoing improvements to long-term projects on contract management and administration

What your background looks like

  • 1-3+ years of experience, preferably as member of in-house legal department
  • Strong organizational skills and attention to detail
  • Excellent written, verbal, and interpersonal skills to interact with co-workers, outside counsel, third parties, and/or other external contacts
  • Ability to work in an environment with fluctuating priorities and tight deadlines
  • Good negotiation and judgment skills
  • Able to work independently and problem solve with minimal supervision
  • Contract drafting/software licensing experience preferred
  • Excellent and advanced Microsoft Word skills; proficient in Adobe products, Excel, and PowerPoint; Salesforce.com experience preferred
