The Associate General Counsel is responsible for providing a high level of professional legal service by representing and advising the Arizona Board of Regents (ABOR) and Arizona State University on a broad range of issues including real estate matters, business law, and other legal matters. This position will primarily support ASU's business activities, including those involving matters related to real estate and public-private partnerships. Provides advice relating to complex business transactions, real property law, state and federal laws, and ABOR and ASU policies impacting Arizona State University. Assists with the development of educational training programs for administrators, faculty, and staff. Interacts regularly with senior level administration and with state, local, and federal regulatory offices. Manages a significant and varied workload including working on multiple unrelated matters concurrently and completing complex projects both independently and with direction. Utilizes excellent judgment and discretion as well as exceptional integrity and research and communication skills.

Essential Duties

  • Prepares and reviews contracts, with emphasis on real estate contracts, and other legal documents for various University offices and departments
  • Prepares legal opinions and provides advice for administrative offices and academic units based on an analysis of applicable federal and state law and regulations, Board of Regents policies and University policies
  • Handles university transactions, litigation and administrative proceedings relating to the attorney's primary practice area(s)
  • Advises University boards, offices and committees on responsibilities and policies/procedures to be utilized
  • Assists in analyzing and advising on legal implication of policy decisions, and regulatory compliance matters
  • Represents the Office of General Counsel at meetings and conferences, as required
  • Researches and analyzes a wide variety of laws, regulations, legislation, legislative history and policies; studies proposed or existing legislation for implications to the University
  • Maintains effective working relationships with appropriate regulatory, legislative and other legal resources
  • Assists in development and presents a variety of preventive law programs for the University
  • Accepts service of process in appropriate circumstances; handles subpoenas and court orders
  • Assumes other duties as may be assigned

Minimum Qualifications

J.D. degree from an ABA accredited law school and six (6) years of experience as a practicing attorney, including experience in the primary practice area(s) designated by the Senior Vice President and General Counsel; OR, any equivalent combination of experience and/or education from which comparable knowledge, skills and abilities have been achieved. Must be a member in good standing with the State Bar of Arizona within twelve (12) months of hire or qualify for and registered as in-house counsel in Arizona.

Desired Qualifications

  • Evidence of a J.D. degree from an ABA accredited law school and six (6) years of experience as a practicing attorney with a focus in real property and transactional law.
  • Experience in the active practice of law which is current and continuous and with a focus in complex real property and transactional law, including demonstrated knowledge of public-private partnerships, acquisitions, leasing, easements, construction, development, and related matters, and related business issues (6 years).
  • Experience working in a diverse and complex environment; structuring, negotiating, and drafting complex transactions and agreements relevant to a complex public research university as a licensed attorney with active practice.
  • Demonstrated knowledge of a wide range of legal issues associated with a complex and entrepreneurial public university, and of applicable laws and regulations.
  • Evidence of effective verbal and written communication skills.

Working Environment

  • Work is performed in a standard office environment subject to prolonged periods of sitting and operation of computer equipment requiring keyboarding.
  • Travel to other offices at the Tempe campus and other ASU campuses is required.
  • Some out-of-state and overnight travel is required.
