Role Overview

Secureworks, an industry leader in the provision of cybersecurity services, is a seeking an attorney to join its growing legal team as Regulatory Counsel in the Atlanta office. The position will report to the Vice President, Legal and will be responsible for assisting with SEC and Board governance activities as well as contractual negotiations to support Procurement, Marketing, Partner/Distributor transactions and the company’s strategic initiatives.

Role Responsibilities

  • Assists with drafting and filing the company’s Securities and Exchange Commission (SEC) filings, including the annual and quarterly reports, proxy statements and other related filings
  • Provides legal support to the Corporate Secretary, including the drafting, preparation and review of Board of Director meeting materials
  • Collaborates and provides legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materials
  • Provides support negotiating, drafting, and finalizing procurement contracts and contracts with partners and distributors
  • Provides diligence support and other transaction support in connection with the company’s strategic initiatives
  • Recognizes risk elements in business transactions, and collaborates with Sales, Operations, Finance, Legal, Tax, and Insurance groups to ensure that agreements meet Company policies and protect the Company’s interests
  • Remains up-to-date on relevant industry, commercial, cybersecurity and privacy laws and regulations to ensure an ongoing ability to provide informed legal advice
  • Assists with governance and compliance matters
  • Manages outside counsel efficiently and associated budgets as needed
  • Handles other Legal projects as assigned

Minimum Requirements

  • J.D. degree from an ABA accredited law school with strong academic performance; Active membership in good standing with at least one state bar; State Bar of Georgia is preferred
  • 3 years of relevant experience in law firms and/or in-house legal departments
  • 3 year of experience in structuring, negotiating, and drafting commercial transactions
  • 3 year of experience with SEC reporting matters preferred
