Position Overview:

Gopuff is seeking an experienced, practical, business-oriented lawyer to assume the role of Associate General Counsel - M&A, reporting to the Company’s General Counsel. The Associate General Counsel will be responsible for providing leadership, guidance, direction and execution on a broad range of global M&A activities, and partner with the Company’s Corporate Development team to provide oversight and legal advice with respect to Gopuff’s M&A transactions. Gopuff has HQ presence in Philadelphia, San Francisco, Austin, Boston, Seattle, Miami, New York, Los Angeles, and Chicago, and this role can be located in any of these cities.

Responsibilities:

• Provide oversight and legal advice with respect to the Company’s global M&A transactions, including but not limited to, structuring transactions, managing the team’s drafting and reviewing of agreements, overseeing the due diligence process, and overseeing and managing post-closing activities;
• Work with cross-functional business units to execute, manage, and track corporate transactions and other projects from inception to closing;
• Partner with international corporate development team and lead the legal team responsible for the Company’s M&A activities;
• Direct and oversee the work of outside counsel;
• Take an active role in leadership, including the professional development and mentorship of Legal team members; and
• Work to ensure consistency regarding process and contract terms from deal-to-deal, and implement processes to ensure that the institutional knowledge acquired in connection with each transaction is captured and shared throughout the M&A function.

Key Requirements:

• Must be in good standing and be admitted to a U.S. state bar;
• Seeking candidates with 10+ years of combined experience within both a large law firm and in-house company;
• Significant experience with M&A transactions and corporate governance matters, with cross-border M&A experience a plus;
• Experience in both private and public company acquisitions;
• Ability to prioritize, remain organized, and execute effectively within a fast paced, team-oriented environment;
• A detail-oriented, self-starter attitude with the ability to think critically and exercise independent judgment;
• Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization;
• Ability to establish and maintain strong relationships across the organization’s various departments.
