Semaphore Corporate Solutions, Inc. (“SCS”) is seeking a transactional attorney with at least 5-7 years of contracts and corporate law experience. More seasoned attorneys are also encouraged to apply. SCS is one of the six companies in the Semaphore Family of Companies and handles all aspects of corporate formations and management from corporate regulatory filings to preparation of shareholders’ and operating agreements as well as the drafting of other human resources related agreements (employment agreements, independent contractor agreements, etc.). A well-qualified candidate should also have interest and ability in working with internal managers on strategies and execution plans to obtain new business.

SCS is a one-stop-shot for its clients and works with them on all aspects of their corporate compliance needs.

- Excellent educational credentials graduating from an accredited law school in the top third (33%) of your class. Law review or journal experience is highly preferred.
- Managing the Compliance Specialist and reviewing and approving all relevant work product.
- Handling all complex agreement drafting and review (shareholder agreements, operating agreements, employment and contractor agreements, complex minutes, complex regulatory filings, other commercial agreements, etc.).
- Interfacing with the other managers from the Semaphore Family of Companies in service of the clients.
- An active bar membership or license to practice law in the U.S.
- Ability to work in a dynamic office environment (not remote) out of Semaphore’s Centennial, Colorado office.
- 5-7 years of post-JD business transactions, commercial contracts, technology transactions, entertainment, or corporate law experience in a law firm and/or in-house setting is required.
- Experience in new media or with talent agencies a plus.
