Your field of responsibility

An exciting opportunity to advise the Credit Investments Group (“CIG”), a leading credit alternatives business within the Asset Management Division of Credit Suisse, in connection with collateralized loan obligation (CLO) transactions and the broader credit investments management business.

  • Draft, review, and negotiate CLO-related documentation, including indentures, collateral management agreements, offering circulars, term sheets, engagement letters, warehouse agreements, and legal opinions.
  • Provide advice in relation to daily management of CLOs in accordance with legal, regulatory, and documentary requirements.
  • Effectively communicate with external law firms, arrangers, trustees, rating agencies, investors, vendors, and other third parties.
  • Assist in structuring of and advising on credit investment products such as commingled funds and separately managed accounts.
  • Advise on all pertinent legal and regulatory matters.
  • Provide legal advice in relation to portfolio credit investments, including in distress scenarios.
  • Review and advise on marketing materials and due diligence requests.
  • Oversee outside counsel engagements.
  • Collaborate closely with the front office and serve as a strategic adviser.
  • Work in tandem with other corporate functions such as Compliance, Risk, Tax, and Middle and Back Offices.

Your skills and experience

Bar admission in New York and at least [5] years’ experience at a major law firm, investment manager, and/or investment bank.

  • Deep substantive knowledge of CLOs and CLO warehouse facilities required.
  • Familiarity with European CLOs and warehouses, representation of CLO managers or other buyside clients, and/or experience with leveraged loans. private credit funds, CLO investment funds, debt restructurings/workouts, and bank regulatory matters are plus factors.
  • Strong familiarity and experience with securities, investment advisory, and other pertinent laws and regulations, including the Investment Advisers Act, US risk retention regulations, the EU/UK Securitisation Regulation, the Volcker Rule, the Securities Act, the Securities Exchange Act, and the Investment Company Act.
  • Highly committed, results oriented, and hardworking, alongside outstanding interpersonal capabilities.
  • Outstanding analytical, problem solving, drafting, and communication skills.
  • Ability to successfully balance multiple projects, prioritize competing demands, and meet specified timeframes.
  • Extremely proactive and willing to take ownership of matters.
