Profile


Draft contracts and correspondence for attorney review, perform contract management tasks for certain agreements, and assist with the management of various business aspects of the Legal department including tracking invoices, inter-department communications, and coordinating with department Project Manager on process efficiency projects. Conducts research, and drafts memoranda, and legal and business communications. Responds to and maintains documents related to requests for medical records and other TriWest documents.

Education & Experience

Required

o Paralegal certificate and/or bachelor’s degree in legal studies, business administration or similar study or equivalent experience.
o 5+ years legal administration, legal operations, paralegal experience, or equivalent background, including specifically transactions/contract drafting and legal research.
o 5+ years of experience with corporate laws and regulations
o Excellent written communication and organizational skills
o Experienced in organizing and managing a corporate legal department
o 3+ years of experience in drafting and managing contracts

Preferred

o Healthcare industry experience.
o Successfully passed AZ Certified Legal Document Preparer Exam
o Experience in an in-house legal department or as a corporate/transactional paralegal at a corporate law firm
o Experience with electronic Contract Management Systems (CMS) and electronic signature platforms

Key Responsibilities

Key Responsibilities

o Contract drafting – drafts and prepares standard form agreements; prepares legal memoranda; drafts and prepares amendments, consents, confidentiality agreements, professional services agreements; act as point of contact for department tracking of contracts, amendments, and related documents.
o Contract management – Manage the signature process and related internal policies and controls around the review, execution and lifecycle of corporate contracting; work cooperatively with department attorneys to develop and maintain the library of contract templates for use across the organization, including NDAs, services agreements, vendor and consulting contracts.
o Operations: tracking invoices; implements and maintains department procedures and systems.
o Support various ongoing or special legal projects or perform legal research as directed.
o Has responsibility for correspondence and telephone contact related to TriWest business. Interacts with all TriWest departments, TriWest field staff, contractors and customers.
o Acts as Legal Department liaison as required. Monitors documents delivered to Legal Department. Attends meetings as assigned by General Counsel.

o Manages department contract management systems (including identifying and inputting essential contract terms, generating reports and monitoring various contract metrics), data and records storage, paper and electronic corporate documents, manages security access of share drives.
o Assists in the editing of materials in compliance with federal and state laws, rules and regulations. Coordinates with relevant departments to assure accuracy of contents.
o Assists General Counsel with due diligence for various matters including determining facts surrounding legal problems and obtaining information regarding contracts or other matters.
o Researches, coordinates and prepares responses to requests from state, local and federal regulatory agencies under general supervision of corporate counsel.
o Assists with the preparation of presentations and reports for Board of Director and various corporate committees and meetings.
o Coordinates with Project Manager and ePMO on department projects, and prepares related management and statistical reports.
o Communications with leadership regarding status of contracts, and other matters as assigned.
o Performs other duties as necessary.
o Regular and reliable attendance is required.

Competencies

Technical Skills

Proficient with Microsoft Word, Excel, and Outlook. Experience with contract management systems/databases (Familiarity Agiloft is a plus).
