TCG Capital Management (“TCG”) is an investment firm based in Los Angeles/San Francisco and invests in consumer internet, digital assets, media, commerce, sports, and wellness companies. Investments include Food52, Everlywell, Headspace, Meateater, Hodinkee, Surfline, Scopely, Sketchy, Lovevery, The Pro’s Closet, Collector’s Universe/Goldin Auctions, Dapper Labs, as well as many others.

The Position

TCG is looking for an exceptional, well-rounded Corporate Counsel to play a critical role in driving the success and growth of the Firm. The Corporate Counsel will be a core member of the TCG team. He/she will focus on:

  • Advising the Company on all corporate legal matters, with an emphasis on complex M&A and venture transactions and corporate governance.
  • Working closely with the business teams, key stakeholders, and portfolio companies to ensure success within the Company’s legal functions.

The Corporate Counsel will be based ideally in Los Angeles (with San Francisco considered) and will report to Lauren Goldberg, Chief Operating Officer & General Counsel.

Objectives & Responsibilities

  • Serve as a key lawyer on major business transactions, including acquisitions, minority and majority equity investments, divestitures, joint ventures, and venture investments. You will be responsible for managing an M&A transaction start-to-finish, which may include drafting and negotiating term sheets and long form documents, counseling the deal teams on legal and business issues, managing outside counsel, and working closely with founders and management teams on post-close projects. You should be comfortable acting as the lead lawyer on a deal and have a thorough understanding of NVCA forms, acquisition and investment documents, corporate governance structures, common M&A issues, and executive employment agreements.
  • Review and management of fundraising process, including review of fund documents and side letters with limited partners. Manage any limited partner requirements and co-investment processes.
  • Oversee the Firm’s corporate governance/legal administration, including drafting operating agreements, maintaining entity and structure charts, legal files, etc., in coordination with the Legal & Compliance Coordinator.
  • Act as a legal resource to the Firm’s investors, portfolio companies, and operation teams on legal issues, transaction structure, corporate governance, employee matters, etc.
  • Handle the Firm’s day-to-day legal needs, including negotiation of NDAs, vendor agreements, consulting agreements, employment agreements, financing reporting, litigation, portfolio company consents, and the like.
  • Assist the General Counsel with advising the Firm’s Board on corporate governance, strategy, fundraising, compliance and other policies and procedures.
  • May perform corporate legal tasks for Chernin Entertainment, as assigned.

Candidate Background & Attributes

  • Minimum of 6+ years as a transaction associate in a top-tier law firm with strong experience in mergers and acquisitions and/or corporate transactions.
    • Understanding of RIA regulations and fund structure preferred, but not required.
    • Prior in-house experience at an investment firm a bonus but not required.
  • JD from an accredited law school.
  • Member of a bar in good standing.
  • Viewed by your supervisors, opposing counsel and piers as the highest-rated, most capable attorney with whom they have worked, willing to tackle any question or issue with interest, dedication, and an optimistic perspective.
  • Excellent verbal and written communication skills required – communication style should be efficient, concise, and effective.
  • Highly organized with strict attention to detail and excellent follow-through.
  • Proactive self-starter, displaying significant initiative and comfort working under strict deadlines and pressure.
  • Strong project management skills, with the ability to multi-task and prioritize work assignments.
  • Enjoys working both independently and as part of a team and excels in a hard charging, fast-paced, entrepreneurial and fun environment with competing demands and passionate stakeholders.
  • Strong leadership presence and interpersonal skills to interface with firm leadership, portfolio company management, and limited partners.
  • Comfortable working with and maintaining confidential information.
