And critical to the successful integration of those businesses is ensuring that the acquired technology meets Salesforce’s rigorous security and privacy standards. The Product Counseling team for M&A Legal Integration partners with the M&A Legal Integration Lead, as well as stakeholders across our Security, Technology & Product, and Product and Privacy Legal teams to ready our acquired technologies to be sold by Salesforce. In this role your responsibilities will include participating in pre-signing diligence activities, understanding Salesforce’s rationale for the purchase and strategy with respect to the acquired technology, assisting to uncover any deal-stopping concerns from a security or privacy perspective, and identifying any foreseeable go-to-market challenges...all before the integration work begins!

Responsibilities:

  • Partner with Product Legal and Privacy Legal teams to provide guidance to executives, engineers, and product managers on issues related to the acquired technology during the due diligence and subsequent integration activities.

  • Partner with colleagues in Product Legal, Privacy Legal, and Security to draft Trust & Compliance Documentation for the acquired technology as we prepare to bring it to market.

  • Gain an understanding of the acquired technology’s security, infrastructure, and privacy model and be able to articulate that to various cross-functional teams, and identify how that differs from Salesforce’s standards on security and privacy.

  • Negotiate third party vendor agreements to ensure they comply with Salesforce’s contracting standards and legal obligations.

  • Partner with colleagues in Privacy Legal to conduct privacy impact assessments.

  • Participate in New Product Introduction (NPI) workstream as we prepare to move the acquired product into Salesforce’s quoting system.

  • Serve as a resident expert and resource on issues related to privacy and data protection as these topics relate to the acquired technology.

  • Provide strategic and timely counseling on the acquired technology and be able to present and train on relevant issues.

  • Build cross-functional relationships with business teams as well as other members of the Legal department.

Required Skills/Experience:

  • Juris Doctor degree and admitted to practice in at least one US jurisdiction required.

  • 4-6+ years combined experience in law firm and/or in-house legal department, preferably in the technology industry, with significant relevant transactional and product and/or privacy counseling experience.

  • Working technical understanding of data flows, cloud computing, integrated platforms, social technologies, data analytics, artificial intelligence, and mobile applications.·

  • Familiarity with key regulatory requirements in the SaaS space, including open source licensing practices and privacy and data protection issues.

  • Ability to resolve time-sensitive issues with a high degree of precision and exhibit strong organizational, written, and verbal communication skills.

  • Sound and practical business judgment. Comfortable as a key legal adviser to multiple product and engineering groups, as well as the M&A Legal Integration Lead and broader Strategic Transactions Group.

  • Collaborative team player combined with ability to work independently.

  • Sense of humor.

Desired Skills/Experience:

  • Product and/or privacy counseling in-house experience at a technology company.

  • M&A experience is a bonus.

  • Substantive expertise in the laws governing privacy, data residency and encryption export compliance.

  • Substantive expertise in international cybersecurity regulatory regimes.

  • Certified Information Privacy Professional (CIPP).

  • Familiarity with NAI and DAA Guidelines, and substantive expertise in the laws governing e-commerce, consumer protection, and social media.
