Our legal team is growing and Roofstock is seeking a Senior Counsel/Corporate Counsel, Commercial Transactions and Strategic Partnerships to join our team. In this role you will report to the Associate General Counsel, Transactions, and be responsible for handling general corporate matters and legal aspects of commercial transactions and strategic partnerships for the company. As our ideal candidate, you will be a strategic thinker with sound judgement, who will provide practical guidance and manage multiple complex and high value matters simultaneously.

What You Will Do:

  • Provide commercially oriented, practical and strategic legal advice and guidance to the business and product teams in relation to general corporate matters, complex commercial transactions and strategic partnerships.
  • Draft, review, and negotiate a variety of commercial contracts, including strategic partnership agreements, referral agreements, vendor agreements, service agreements and confidentiality agreements.
  • Oversee legal aspects of business development initiatives designed to promote adoption and use of Roofstock products and services.
  • Support the Associate General Counsel, Transactions and drive process in general corporate matters, including M&A, venture capital, corporate financing and securities matters.
  • Assist in structuring transactions, managing deal processes, performing due diligence, negotiating definitive documentation and coordinating closings.
  • Create and maintain form agreements for Roofstock’s high volume business lines.
  • Develop improvements, scalability and operational excellence in contract negotiation processes and deal execution.
  • Collaborate with other members of the Legal team and subject matter experts to analyze and assess legal risks to advise the business.
  • Collaborate with the Director of Legal Operations, as appropriate, in the development of our contract management processes and policies, including use of software, tools, databases and trackers to drive towards efficiencies and productivity.
  • Comfortable driving projects as you are jumping in to help on other matters, regardless of the work to be done.
  • You are a flexible and creative thinker who can thoughtfully apply existing rules to a tech-forward business, while assessing and explaining the business risks.

What You Bring With You:

  • Member of a US state bar.
  • JD from an ABA accredited law school.
  • 5+ years of relevant experience as a lawyer, ideally a combination of experience at a top tier law firm and in-house experience at a technology company.
  • Experience leading negotiations in complex transactions.
  • Strong contract drafting skills.
  • Superior communication skills and can explain complex issues in an accessible, user-friendly manner.
  • Subject matter knowledge in M&A, venture capital, corporate financing and/or securities matters.
  • Subject matter knowledge in real estate a plus.
  • Ability to translate complex legal concepts into actionable guidance for non-legal product and business teams.
  • You have a strong desire and ability to develop expertise in new or unfamiliar areas of law.
