Job Description

We’re looking for a Senior Contracts Manager to join Procore’s fast-growing Legal, Regulatory & Compliance Department. In this role, you’ll serve as a primary legal point-of-contact for vendor-facing agreements, advise on and help implement contract management best practices, and drive initiatives to support company and departmental objectives.

As a Senior Contracts Manager, you’ll partner with our Procurement organization and internal business partners to draft and negotiate a wide variety of buy-side agreements while helping to mature the Procurement Legal function. You’ll lead as a trusted business partner alongside the Senior Manager of Procurement Legal, helping create a world-class Procurement Legal operation that supports an innovative, globally scaling company. The ideal candidate should be self-motivated, organized, resourceful, and highly detail-oriented. If you’re an astute and experienced negotiator with strong business acumen, sound judgment, and a passion to drive results and process improvement—we’d love to hear from you!

This position reports to our Senior Manager of Procurement Legal. This role can be remote or based in one of Procore’s US-based office locations. We’re looking for someone to join us immediately.

What you’ll do:

  • Perform contract review, drafting, and negotiation for a wide variety of vendor agreements, including MSAs, NDAs, data privacy and security, SaaS, and other related agreements
  • Lead and improve upon a full range of contract lifecycle management activities, including tracking and executing amendments, renewals, and expirations, measuring and mitigating contract risk, and performing other post-execution deliverables
  • Develop, implement, and maintain best practices for contract templates, playbooks, clause libraries, and self-service tools and FAQs
  • Assist with continuous improvement efforts related to Procore’s CLM system and contract repository, including supporting workflow enhancements, automation, integration, business intelligence, and artificial intelligence
  • Support our Global Data Protection and Compliance teams by conducting first-pass reviews of relevant agreements, ensuring appropriate contractual terms are in place with key vendors, and coordinating process improvement initiatives with other members of the Legal, Regulatory & Compliance Department as necessary
  • Conduct periodic company-wide and departmental training on contracting processes and initiatives
  • Lead or support additional projects as needed, potentially including the ongoing ownership of longer-term programs
  • Stay abreast and advise on potential impacts of new developments, industry trends, and best practices in the markets in which we operate

What we’re looking for:

  • 8+ years of relevant contracts management experience (gained ideally at a SaaS or other high growth technology company) in roles of increasing responsibility
  • Extensive experience and skill in reviewing, analyzing, drafting, explaining, and negotiating buy-side agreements
  • Highly detail-oriented, organized, proactive, efficient, and resourceful with exceptional follow-through skills
  • Strong desire to learn the business and to function integrally as part of an interdisciplinary team
  • High EQ, impeccable professional ethics, integrity, judgment, and demonstrated ability to handle highly confidential information
  • Able to operate autonomously while being a team player who brings a positive “can do” attitude to the workplace working collaboratively with other members of the Legal, Regulatory & Compliance Department and with internal business partners
  • Excellent written and verbal communication skills with the ability to effectively counsel internal business partners by providing clear and concise advice and creative solutions to meet business needs
  • Certification from a professional contract management organization (e.g., National Contract Management Association) is a plus
  • High proficiency in Google applications (including Gmail, Drive, Docs, and Sheets), Slack, Jira, Ironclad, and DocuSign is a plus
