The Corporate, Securities & Governance Paralegal provides paralegal and administrative support to a team of six lawyers focused on Corporate Governance, SEC, Securities and Subsidiaries. The position will report directly to our Corporate Counsel – Corporate & Securities, but will work very closely with other team members, internal clients and the Senior Vice President & Associate General Counsel.

We are looking for a paralegal to join our team and help provide excellent legal services on a wide variety of corporate governance and securities matters. The successful candidate will be very detail-oriented and eager to learn and grow and will be able to prioritize, juggle competing priorities, and be extremely responsive in a fast-paced environment, all while maintaining excellent relationships with internal clients. A go-getter with a keen sense of judgment, strong organizational skills, and a sense of humor would excel in this role. A legal background, or experience as a corporate paralegal or law clerk, will be preferred but is not required.

Responsibilities: The paralegal will be responsible for the following tasks:

  • Overseeing the preparation and filing of annual reports, franchise taxes and foreign qualifications for the Company and its domestic subsidiaries in multiple states.
  • Managing or assisting with domestic subsidiary matters, including formation, dissolution, conversion, drafting of governance documents, and maintenance of minute books.
  • Assisting with the preparation and organization of detailed records in support of the Company’s Board meetings and SEC filings, including the Proxy Statement and Forms 10-K and 10-Q.
  • Working with the Company’s Transfer Agent to assist with securities matters in support of the Company’s mergers and acquisitions, including releases of restricted stock and related rep letters.
  • Drafting and maintaining legal documentation in support of the Company’s business operations, including incumbency certificates, officer certificates and delegations of authority.
  • Responding to the unexpected in a fast-moving Fortune 500 technology company.

Requirements:

  • Ability to multi-task, prioritize and be extremely responsive and flexible in a fast-paced environment
  • Be a team player who wants to learn, take initiative and work together to get things done
  • Strong oral and written communication skills and attention to detail
  • Ability to use, or quickly learn, iManage, Blueprint, BoardVantage and Google Docs/Sheets
  • 2-3 years’ paralegal or legal clerk experience strongly preferred

For Colorado-based roles: Minimum annual salary of $65,800. You may also be entitled to receive bonus, and benefits.
