POSITION DESCRIPTION:
Weee! seeks an experienced attorney to support our growing business operations. Reporting to the General Counsel, this position is located in Weee!’s corporate headquarters in Fremont, CA.
The successful candidate will have 6+ years of experience in the corporate department of a law firm or in-house legal department.
RESPONSIBILITIES
- Manage and work with outside counsel on all M&A, investment, and other strategic transaction matters.
- Perform due diligence, draft and negotiate term sheets, support closing transactions, and manage post-closing integration.
- Manage pre- and post-public corporate and regulatory filings.
- Manage and maintain formation of entities supporting new initiatives.
- Draft and maintain Board consents and committee materials.
- Support regulatory initiatives including but not limited to tax, insurance, alcohol licensing, labor & employment, and land use.
- Partner with Finance, Accounting, Tax, Insurance, and HR to ensure alignment of key corporate initiatives.
- Train and educate internal teams on corporate strategies and best practices.
REQUIREMENTS
- Substantive experience in corporate formation, entity management, and M&A transactions.
- The tenacity to thrive in a start-up environment.
- Excellent interpersonal and communication skills.
- Strong analytical capabilities and judgment.
- Ability to work proactively, independently, and reliably under tight timeframes in a fast-paced environment.
- Ability to work effectively, collaboratively, cross-functionally, think practically and be solution-oriented in a multilingual environment.
- Willingness to tackle matters outside their area of expertise and do more than just be a lawyer.
- JD from accredited law school.
- Admitted to practice law and in good standing in the State of California.
PREFERRED
- In house legal counsel experience.
- Retail experience.
