JOB DESCRIPTION

Job Summary

The Corporate Law Department handles all securities-related matters for Comcast Corporation and its subsidiaries. The primary focus of this position is to provide legal support relating to the company’s SEC reporting requirements and capital markets and corporate finance transactions. The attorney will work closely with the company’s Accounting and Treasury departments and also work directly with other business units as needed. The attorney must have extensive knowledge and experience with U.S. securities law matters, including relating to public company periodic reporting requirements and be able to handle routine capital market transactions with minimal outside counsel assistance. In addition, the attorney will work with outside counsel on more complex transactions, provide legal support for other corporate finance matters, such as credit agreements and derivative agreements, and assist with corporate governance matters. Additional responsibilities include work on general corporate matters, work on forms, policies, and processes relating to subject matter expertise, and miscellaneous contract work. The attorney will work closely with, and report to, a Senior Deputy General Counsel who has oversight of securities and corporate governance matters.
 
Additional General Duties: 

Responsible for providing legal support and knowledge of a legal specialty for non-routine matters affecting one or more of the business units and/or corporate headquarters.  Provides advice and recommendation on complex issues that have or may have a significant impact on business activities and operations.  Operates with minimal supervision and regarded as a subject matter expert.  Researches legal principles and precedents.  Supervises outside counsel on non-routine matters within the scope of subject matter expertise.

Core Responsibilities & Requirements:       

- Substantial experience in capital market transactions, including public and private securities offerings and drafting of offering documents, underwriting/purchase agreements and indentures; experience in drafting credit agreements and familiarity with derivative agreements and ISDAs are also a strong plus.

- Substantial experience and knowledge of U.S. securities laws, including the Securities Act of 1933 and Securities Exchange Act of 1934,and various rules and regulations thereunder, such as Regulation S-K, Regulation S-X, and Regulation G.

- General knowledge of corporate governance rules under securities and NYSE and Nasdaq listing standards.

- Excellent drafting and contract negotiation skills.

- Excellent communications and problem solving skills.

- Ability to work effectively in a team setting with all levels of management, manage multiple projects, and meet deadlines with consistently high quality work product.

- Ability to formulate creative solutions to accomplish the company’s objectives.

- Will provide legal counsel in a particular subject area of expertise and/or to a specific business unit or units. Will dispense legal knowledge and expertise impacting business operations. Will work closely with executives and management.

- Will perform legal research when and as necessary to resolve legal issues and determine the appropriate course of action regarding a particular issue/case. Will consult with and supervise outside counsel to develop legal strategies and resolve issues in non-routine matters.

- Will operate with minimal supervision and coordinate legal functions with other departments affected by the matter/issue.

- Will provide mentorship and guidance to junior level attorneys and may have direct management responsibilities for non-attorney legal specialists.

- Must consistently exercise of sound judgment and discretion in all matters.

- Must have regular, consistent, and punctual attendance. Must be able to work nights and weekends, variable schedule(s), and overtime as necessary.

- Other duties and responsibilities as assigned.

Qualifications:

- Law Degree. Top 20% of class and law review preferred.

- Member of a state bar in good standing.

- Experience as an Attorney in capital markets and securities

- Subject Matter Expertise in public and private debt offerings; experience also with credit agreements, loan agreements, and treasury matters a plus

- Ability to work proactively and effectively with business leaders in SEC Reporting, Treasury, and Investor Relations

- Superior writing, communication, problem solving, and negotiation skills.

- Ability to proactively manage multiple projects and meet deadlines with consistent, high quality work product and superior results.

- Excellent drafting, negotiating, problem solving, and communications skills.
