Warby Parker is on the lookout for a sharp-as-a-tack Manager, Corporate Governance and Securities to join our growing Legal team in a non-attorney role. In this role, you’ll provide support for our Board of Directors and executive team, assist with the preparation of the Company’s SEC filings, and manage various special projects relating to corporate governance.  Reporting to our Vice President and Associate General Counsel -- Corporate and Securities, you’ll be interfacing with the highest levels of management within the company.  Sound cool? What you’ll do: 

  • Assist with preparation of board and committee materials
  • Assist with documenting corporate actions, including minutes, resolutions, consents, governing documents and certificates
  • Responsible for leading the internal preparation, coordination and successful execution of board and committee meetings
  • Manage and maintain corporate records, minute books and board and committee materials on the Company’s electronic board book, Diligent 
  • Support the preparation of SEC filings, including the annual proxy statement, registration statements, periodic reports and Section 16 filings
  • Help prepare and maintain governance-related policies and procedures, including maintaining insider trading compliance program participant list
  • Help maintain the corporate and board calendar
  • Support special corporate governance projects
  • Develop and maintain working relationships with various departments with which the Legal team interfaces, including significant interaction with the board and senior management

Who you are:

  • Backed by at least 7-10 years of experience as a corporate governance legal specialist or senior paralegal at a public company, preferably a Fortune 250 company
  • Equipped with public company corporate governance and board experience, including assisting with the preparation of board materials and agendas
  • Experience with corporate drafting, including resolutions, consents, minutes and certificates
  • Familiarity with electronic board portals (knowledge of Diligent preferred)
  • Experience assisting with SEC filing preparation, including the annual proxy statement and Section 16 filings
  • Knowledge of NYSE rules and regulations
  • Strong written and verbal communication skills
  • Team-oriented and collaborative approach
  • Able to work independently with minimal oversight
  • Complete reliability handling confidential, often highly sensitive information
  • Some flexibility in your schedule – we value work/life balance, but in a pinch, a bit more time is needed
  • Very strong organizational skills and extreme attention to detail
  • A highly professional demeanor, can-do attitude and comfort dealing with senior management
  • Please note this is not an attorney-level position 

Extra credit: 

  • Knowledge of Delaware corporate law
  • Experience working at a fast-paced, growing company
  • Experience with Concord, Freshdesk, Diligent and Google Drive (we use them all!)
