Job Description

This position can be remote with occasional travel to Santa Rosa for meetings. This department sits within the corporate practice group of the Keysight legal department based in Santa Rosa, CA and reports to the Assistant General Counsel.  The successful candidate for this position will be an attorney with at least 5 – 7 years of global strategic Merger and Acquisition transaction and integration experience.  This position will primarily support post-closing integration of newly acquired companies but will also provide supplemental and backup support for merger, acquisition and divestiture transactions.  

Key Responsibilities

  • Work closely with global, cross-functional teams to provide legal support for global acquisition integration activities, including due diligence, post-closing entity governance, entity structure including, maintenance, liquidation and dissolution, and integration into existing entities, contract assignment and standardization of contract terms and conditions.  
  • Provide supplemental and back up support for strategic transactions, including confidentiality agreements, due diligence, negotiation and drafting of term sheets and definitive agreements, antitrust issues, closing mechanics.
  • Provide supplemental and back up support for minority investment opportunities, including confidentiality agreements, diligence, negotiating and drafting subscription agreements, signing and closing mechanics.
  • Manage and coordinate outside counsel support where needed.
  • Stay up to date and advise internal clients on changes in the law and recommend appropriate responses.

Job Qualifications

  • This position requires a J.D. from an accredited law school, plus a minimum of 5 - 7 years relevant experience.  A combination of top-tier law firm and in-house experience is preferred. 
  • Must have experience working on global transactions and integrations involving public and private companies.
  • Must be able to collaborate across global functions, interact with employees at all levels of the organization and influence results.
  • Must be organized and efficient with the ability to work independently.
  • Must have demonstrated ability to work on multiple projects simultaneously and remain calm under pressure.
  • Must demonstrate initiative, excellent judgment, strategic thinking and the ability to balance business need and legal risk.
  • Candidates must have excellent oral and written communication and presentation skills.

Level of role is based on experience, education and skills, most offers will be between the minimum and the midpoint of the Salary Range listed above.
