Job Details

Salesforce is seeking a Senior Corporate Counsel (Director Level) to support a variety of equity and executive compensation and related corporate governance matters.  This attorney will report to the Senior Vice President, Corporate, Securities and Global Governance, and Assistant Secretary.

Responsibilities will include work in the following areas:

  • Leading the executive compensation legal team, including one other attorney and one paralegal, in broad-based domestic and international equity compensation program support

  • Compensation-related SEC disclosure and corporate governance matters, including managing the Company’s Annual Proxy Statement process and assisting with matters relating to the annual shareholder meeting

  • Collaborate extensively with cross-functional teams, including Finance, Employee Success (HR), Global Equity Plan Services, Tax, Treasury and Accounting on various executive compensation, equity incentive plan and employee benefits matters

  • Board of Directors support, particularly with respect to the Compensation Committee

  • Oversee the Section 16 SEC filing process

  • Broad support of equity compensation aspects of M&A activity

  • 401(k) Plan governance and support

  • Advise on insider trading compliance and Rule 10b5-1 trading plan review and administration

  • Assist with NYSE listing/governance requirements

  • Additional ad hoc governance, securities, and executive compensation projects

Required Skills and Experience:

  • Juris Doctor degree and admitted to practice in at least one US jurisdiction with a minimum of 10+ years of relevant experience, including experience with a top tier law firm, advising companies on executive compensation matters

  • Excellent judgment and ability to handle sensitive and confidential information

  • Highly responsive and service-oriented attitude

  • Ability to organize, prioritize, and manage deadlines in a fast-paced and demanding work environment

  • Exceptional interpersonal, organizational and management skills

  • Impeccable written and oral communication skills 

  • Extremely high attention to detail

  • Excellent legal and business judgment

  • Strong drive to learn and grow in a fast-paced, rapid-growth environment

  • Demonstrated commitment to inclusion, diversity, and pro-bono service and/or community involvement

While applicants in any location will be considered, the San Francisco area is preferred.
