The Corporate Counsel will be an integral member of the Corporate Transactions practice group within the Delta Air Lines Law Department. The Law Department provides centralized legal services and support for Delta Air Lines and its affiliates and subsidiaries worldwide. This role will provide strategic advice and counsel in support of the of the business objectives of the Company’s Corporate Strategy, International Alliances, Ventures, Sustainability, Marketing, Sales, Cargo and Digital & Distribution business units. In addition, this role will provide legal guidance and support for corporate strategic transactions including potential mergers, acquisitions, divestitures, joint ventures and equity investments. The successful candidate will be part of a team of legal professionals with a mission to deliver top-quality and cost-conscious legal solutions to business issues.
This position requires a strong background in negotiating and drafting strategic transactions agreements and other complex commercial contracts, deal management and closing experience. Experience in public transactions, both M&A and capital market matters, and sustainability transactions is preferred. The successful candidate must have the ability to lead and collaborate with internal and external attorneys, internal stakeholders, and customers to provide solutions to legal issues to advance the business objectives, including developing and finalizing definitive agreements.
This position is based in Atlanta and will report to the Associate General Counsel – Corporate Transactions.
Primary Responsibilities:
- Lead, support and manage time-sensitive negotiations regarding strategic transactions
- Draft, negotiate and structure purchase and sale agreements, equity investment agreements, joint venture agreements and other complex commercial contracts
- Draft transactions documents and related SEC filings in connection with public transactions
- Draft, negotiate and structure sales, marketing, sponsorship, and joint venture agreements
- Leadership role in successful completion of key transactions and accomplishment of business objectives, including partnering with and directing outside counsel
- Provide business-oriented advice and solutions by balancing risks and business reward
- Administration and resolution of legal issues and contract interpretation matters that arise in existing commercial relationships
- Provide highly responsive and pro-active legal and strategic business advice to achieve business objectives and foster a comprehensive, long-term approach to our relationships with internal and external business partners
- Collaborate with members of the Corporate Transactions practice group to foster collegiality, pursue best practices and business solutions, and improve knowledge management tools
