The Role
As a Director, Senior Corporate Counsel, you’ll head a team of legal professionals focused on managing the day-to-day corporate and commercial needs of Ro and its subsidiaries. You’ll review a variety of contracts and have primary responsibility for managing and improving the Legal team’s contract intake and review process. You’ll also drive financings, M&A deals, and corporate governance, and you’ll be the primary point of contact for general privacy, employment, and intellectual property matters. You’ll collaborate with stakeholders across Ro to understand our business objectives and ensure that the corporate team is meeting the business’ needs through appropriate prioritization and process improvement and innovation. You’re a corporate generalist who has worked in-house and has deep experience in commercial contracts. You’re comfortable being the subject matter expert and making risk decisions with minimal oversight. You understand contracting at scale and have ideas and experience creating efficiencies in the process. You’re friendly, flexible, and eager to learn about all facets of Ro’s business. You are organized, detail-oriented, and comfortable operating in a fast-paced environment. You like to be a manager and facilitate the development of your direct reports.

What You’ll Do:

  • Drive, assess, and improve the legal review process for all contracts, including SaaS and other license agreements, master and professional services agreements, non-disclosure agreements, supply chain and shipping agreements, commercial leases, advertising and marketing contracts, consents and releases, and innovative deals with healthcare partners
  • Collaborate with stakeholders across Ro to drive business growth while managing legal risk
  • Own the review, negotiation, and interpretation of a wide variety of contracts with minimal oversight
  • Own the resolution of privacy, employment, and intellectual property matters with minimal oversight
  • Drive the completion of deal documents and diligence in connection with financings and M&A
  • Collaborate with Security, Privacy, People, Finance, and other teams as needed to develop processes, policies, and procedures to ensure legal compliance
  • Consult with and manage outside counsel as needed, including tracking spend and approving invoices
  • Manage a team and effectively delegate, offer day-to-day oversight, and facilitate professional growth
  • Keep the General Counsel informed and escalate risk decisions as appropriate for consideration by leadership

What You’ll Bring to the Team:

  • An attorney with a JD, admission to a state bar, and a minimum of ten years of relevant experience with at least three years of in-house experience managing a commercial or corporate department (including contract work)
  • General corporate knowledge and comfort with unfamiliar issues, questions, and tasks
  • Breadth and depth of experience negotiating a variety of contracts
  • Experience working in-house in the healthcare, technology, or emerging growth spaces
  • Excellent judgment and ability to effectively delegate to direct reports and outside counsel
  • Knowledge of contract management software, such as Ironclad
  • Ability to negotiate legal risk to drive business initiatives forward
  • Familiarity with data privacy laws, including CCPA
