
The Role
Moderna is seeking an Associate Counsel, Contracts Management & Specialty to support the Commercial Legal department across a wide range of legal and operational matters, with a specific focus on contract management. The ideal candidate will independently draft, review and negotiate complex commercial contracts and identify and mitigate associated legal issues. This position will be the primary legal contact for the commercial procurement team. The ideal candidate must be highly organized, self-motivated, and able to manage multiple projects under considerable time constraints as a critical player on a small legal team.
Here’s What You’ll Do
Responsible for executing the strategy for the provision of procurement and contract services to the company
Provide advice to the contract and procurement team and procurement business owners regarding legal issues, laws, rulings, legislation, and regulations related to procurement matters
Work cross-functionally with our business teams to understand and interpret business requirements into legal terms and conditions; draft, review and negotiate contracts (e.g., vendor agreements, commercial sales agreements, supply agreements, sponsorship agreements) and other legal documents
Independently manage contracts from intake to execution and help manage post-execution compliance
Analyze contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policy Understand business cases, identify legal risks and effectively communicate risks with procurement team and business owners
Protect and mitigate company risks that may arise from contractual requirements
Support the team tasked with improving the commercial contract management system and achieve mastery over use of the system
Coordinate cross-functional projects and implementing legal initiatives, e.g., creating and maintaining a clause library and playbooks for Commercial contracts
Collaborate on a variety of compliance and governance matters
Here’s What You’ll Need (Minimum Qualifications)
JD required
Minimum 5 years of experience as an attorney drafting, reviewing, and negotiating contracts
Here’s What You’ll Bring to the Table (Preferred Qualifications)
In-house experience at a pharmaceutical or biotech company preferred
Proficiency in MS Word, PowerPoint, Excel, Outlook and a willingness to gain proficiency in company-specific systems and applications
Highly organized with strong recordkeeping skills, attentive to detail and accuracy
Solutions-oriented mindset with creative problem-solving ability
Excellent verbal and written communications skills
Must be able to develop relationships with internal business partners and outside vendors, and maintain confidentiality
Must be flexible, able to handle multiple tasks and shift priorities while meeting deadlines and department goals
Must be a team player with a positive attitude and willingness to provide support as needed
