How you’ll make an impact:

In this role, you will be part of the General Counsel’s office as a core member of the legal department, with frequent and direct interaction with members of the executive officer team and Carter’s Board of Directors.

This role typical reports into the Vice President and Associate General Counsel, Corporate & Securities and is based in our Buckhead Atlanta office in and on-site (hybrid) work environment

 50% CORPORATE MATTERS AND BOARD AND COMMITTEE SUPPORT

  • Manage and help coordinate postings to Carter’s board portal (Diligent) and ensure quality control with respect to appearance and layout of postings to the board portal
  • Work closely with Carter’s independent directors on various matters, including, but not limited to, assistance with access to Diligent, obtaining signatures on written consents for the board and various committees of the board, and other communications with members of the board as needed
  • Oversee minute books for Carter’s board of directors and the committees of the board, and assist with the finalization and execution of board and committee minutes and unanimous written consents
  • Assist with the formatting of slide presentations drafted by members of the legal department for presentation to the Carter’s board and committees to ensure consistency with Carter’s standard PowerPoint templates
  • Assist with various corporate-level transactions, including stock repurchases, credit facility financing and refinancing, issuance and/or repurchase of debt securities, mergers and acquisitions, and other key transactional matters as assigned
  • Coordinate matters related to the legal letter process in connection with the independent auditor’s review of Carter’s litigation matters
  • Manage the various direct and indirect subsidiaries of Carter’s and assist with various initiatives around subsidiary maintenance, including tracking of various intercompany agreements and financing arrangements, appointment of officers and directors, and filings in various jurisdictions
  • Assist with risk management matters including, among other things, managing various claims, investigation of claims, and working with third party administrator
  • Assist with tracking and monitoring legal budget matters (using Legal Tracker) related to the corporate and securities function, including coordination of engagement letters for outside counsel, reviewing and reporting out on accruals and actual spend as compared to budget for each matter, and preparing summaries of legal spend for each matter

25% CORPORATE SOCIAL RESPONSIBILITY DATA MANAGEMENT AND REPORTING

  • Assist in responding to ESG questionnaires from external stakeholders by working cross-divisionally to gather and manage data and information related to ESG metrics
  • Support project management and review of annual ESG report process, and support development of reporting automation and tools
  • Oversee data management, processes and controls for emissions inventory database, Envizi
  • Produce periodic reports on key data trends and developments for the department

25% COMPLIANCE PROGRAM ANALYSIS AND REPORTING

  • Assist with reviewing vendor due diligence screening results
  • Assist in responding to compliance platform access issues through monitoring of the compliance email box and applicable helpdesk tickets
  • Communicates directly with outside counsel as requested
  • Communicates directly with executive officers and members of Carter’s board of directors as requested
  • Assists with preparation and tracking of legal budget matters related to the corporate and securities function

We’d Love to hear from you if:

Must have:

  • 7+ years of experience as a paralegal handling a full range of issues related to corporate and securities matters
  • Solid written and oral communication skills, including ability to communicate effectively with executive officers and members of a board of directors with minimal supervision
  • Computer literacy, including the ability to work with a board portal platform (Diligent preferred), Legal Tracker, matter management software, and other research/information databases, and advanced proficiency in Excel, Powerpoint, and Sharepoint
  • Bachelor’s degree in a related field or equivalent combination of education and work experience

  • Experience using Board portal software (preferably Diligent)
  • Attention to detail
  • Paralegal certification preferred
