DESCRIPTION:

This role provides an exciting opportunity to join Cigna’s Legal and Corporate Affairs department.  This Paralegal role works within our Office of the Corporate Secretary (OCS) team supporting The Cigna Group and its subsidiaries and affiliates, an essential component of the governance responsibilities of OCS. Specifically, this individual will provide legal expertise and support for subsidiaries, facilitate entity changes and board/shareholder consents drafting and management, directly interface with directors and officers, and provide support to attorneys and other paralegals, as needed.

ESSENTIAL FUNCTIONS:

  • Assist with the preparation and filing of corporate documents, such as articles of incorporation, bylaws, and resolutions.
  • Maintain corporate records and prepare reports as required.
  • Monitor and ensure compliance with legal and governance requirements.
  • Assist with the preparation and maintenance of board and committee meeting materials, including agendas, minutes, and resolutions.
  • Coordinate with internal stakeholders and external service providers, such as registered agents and auditors.
  • Work with OCS team to identify and implement best practices regarding governance functions.
  • Special projects or additional responsibilities as assigned.

QUALIFICATIONS:

  • Bachelor's degree and paralegal certificate from an ABA-approved program.
  • 3+ years of experience in corporate governance, preferably in a law firm or corporate legal department.
  • Strong understanding of corporate governance principles, subsidiary management, and best practices.
  • Excellent written and verbal communication skills.
  • Ability to work under tight deadlines, carry out multiple related activities simultaneously, proactively identify issues and provide strategic advice.
  • Ability to efficiently and effectively manage complex and high-profile issues and competing priorities.
  • Strong organizational skills and attention to detail.
  • Proficiency in Microsoft Office Suites.
  • Experience using BoardVantage and/or Diligent is a plus.
  • This is a Flex role that will require someone to be in an office a few days a week as well as some WAH.

If you will be working at home occasionally or permanently, the internet connection must be obtained through a cable broadband or fiber optic internet service provider with speeds of at least 10Mbps download/5Mbps upload.
