A Day in the Life:

The Paralegal will be a key member of the Finance & Governance team in Hertz’s Legal Department. The Paralegal works on a variety of legal support activities focused on the company’s financing transactions and its public reporting obligations under the rules of the SEC and Nasdaq. This role will also provide support on matters related to Board of Directors’ meetings. The role requires maintaining the highest level of confidentiality and handling highly sensitive material. If you are high-energy, self-motivated, and detail-oriented, and eager to join a results-oriented team, we encourage you to apply. Subject to business needs week-to-week, the position is staffed in the Estero, FL office Monday through Thursday and works remotely on Fridays.                                                                                                                          This role assists in ensuring the company successfully completes its financing transaction goals, delivers high integrity and timely disclosures in its public filings, and keeps accurate and up-to-date minute books for its subsidiaries.

What You'll Do:

  • Assist with the preparation of routine SEC filings (Forms 3, 4, 5, Proxy Statement, Forms 8-Ks, 10-Ks, 10-Qs).
  • Assist with the preparation of materials required by the Nasdaq.
  • Assist with the company’s annual meeting of shareholders.
  • Assist in preparing materials for meetings of the company’s Board of Directors, including resolutions and power point decks.
  • Support the administrative execution of in-person and virtual meetings of the company’s Board of Directors, including with the creation of virtual board books.
  • Research public company disclosure and governance requirements as requested.
  • Work directly with attorneys and members of the company’s Treasury and Accounting organizations during financing transactions.
  • Assist lawyers in the preparation and filing of UCC filings and UCC filing search requests in all states.
  • Create and maintain data rooms for company transactions.
  • Bring coordination and oversight to the company’s maintenance of its subsidiary minute books and related governance procedures.
  • Maintain corporate governance/minute books for all North American entities. Work with international counsel on corporate governance/minute books for all international entities.
  • Maintain files of executed corporate documents, agreements, financing-related documents and other documents in accordance with established guidelines.
  • Communicate effectively up, down and across the company to gather information needed by the team, and to share information as appropriate. Requires gaining a thorough knowledge of company policies, practices and people, particularly as it relates to the work of the teams supported. Also requires building and maintaining good relationships with internal and external contacts.
  • Project tasks and project management responsibilities, as assigned from time-to-time.

What We're Looking for:

  • 3-5 years’ experience in a law firm or in-house corporate environment working specifically on public company reporting matters required.
  • Subsidiary governance experience, including maintenance of international subsidiary minute books, a significant plus.
  • Associate’s Degree in Paralegal Studies required, Bachelor’s Degree in Legal Studies and/or Paralegal Certification from an ABA-approved program are a strong plus.
  • Knowledge and experience with UCC filings a plus.
  • Experience with WDesk and BoardVantage a plus.
  • Demonstrated problem-solving ability and excellent written communication skills are essential.
  • A willingness to dig-in and learn new technology is critical. This role requires digital fluency or – at a minimum – a willingness to learn.
  • High proficiency in Microsoft Office programs required (Outlook, PowerPoint, SharePoint, Word, Excel, Teams).
  • PowerPoint expertise – including a strong eye for creating attractive, well formatted presentations – is a significant plus.
  • Experience with the use of an eBilling/Matter Management system (e.g., LegalTracker) a plus.
  • Familiarity with legal research databases (e.g., Westlaw/LexisNexis) a plus.
  • Notary public certification is a plus but not required.
  • Ability to read, write, and fluently speak and understand the English language.
